THE ROLE:AMD is seeking a
Director, Corporate & Securities Counsel to provide strategic legal support across a wide range of corporate, securities and governance matters. This position reports directly to the Senior Director, Corporate & Securities. The role provides legal counsel on securities compliance and SEC reporting, corporate and subsidiary governance, capital markets and debt financings, executive compensation, and strategic transactions.
In this high-impact role, you will partner with senior legal leaders and cross-functional teams including, Accounting, Finance, Treasury, Tax, Investor Relations, Stock Administration, Corporate Development, Corporate Communications, Corporate Sustainability, and Corporate Giving. You will deliver practical, business-oriented advice in a fast-moving public company environment and help shape AMD's disclosure, governance, compliance and transactional practices. You will also build scalable processes and support models that enable the company's continued growth.
THE PERSON:You are a pragmatic, business-minded corporate and securities lawyer who thrives in a complex public company environment and serves as a trusted advisor to senior executives and cross-functional partners. You bring strong legal judgment and can translate complex legal requirements into clear, actionable advice. You balance legal risk with business objectives, communicate precisely, and take ownership of ambiguous, time-sensitive matters. You are collaborative, direct, and humble, with the ability to lead a team, improve processes, and move work forward with urgency while protecting AMD's interests.
KEY RESPONSIBILITIES:- Advise on compliance with federal and state securities laws, including Exchange Act and Securities Act reporting, Nasdaq requirements, Regulation FD, insider trading requirements, and Rule 10b5-1 plan administration.
- Ensure the timely preparation, accuracy and filing of all SEC filings, including all periodic reports (Forms 10-K, 10-Q, 8-K), proxy statements, registration statements, securities offerings, and Section 16 filings.
- Review earnings materials, investor presentations, press releases, and other public communications.
- Provide legal support for executive compensation and equity compensation programs, including equity plan documentation and stock administration activities.
- Advise on sustainability-related disclosures and public statements.
- Provide legal support for capital markets and treasury matters, including debt and equity financings, credit facilities, share repurchase programs, banking services agreements, and FX hedging and related ISDA documentation.
- Support strategic transactions and other complex corporate projects, including diligence, transaction documentation, governance approvals, integration planning and coordination with internal stakeholders and outside counsel.
- Lead global subsidiary governance and entity management, including entity formations, dissolutions, reorganizations, ongoing maintenance, compliance obligations, and improved tracking and monitoring processes.
- Support AMD's international tax activities, including international tax structuring and intercompany agreements.
- Manage, mentor, and develop a team while advancing operational excellence, process standardization, AI-enabled tools, and scalable support models across the corporate and securities legal function.
QUALIFICATIONS:- Strong, demonstrated corporate and securities experience in a publicly traded company, top-tier law firm or a combination of both.
- Extensive experience with SEC reporting, securities law compliance and corporate governance.
- Experience supporting proxy statements, annual shareholder meetings, and public company governance activities.
- Strong business judgment, proactive issue-spotting skills, and the ability to identify and address legal and business risks before they become problems.
- Exceptional written and oral communication skills, including the ability to translate complex legal concepts into digestible, easy to use content for senior leaders and other non-legal teams.
- Excellent interpersonal and relationship-building skills, with the ability to align stakeholders, solve problems, and execute priorities in a fast-paced environment.
- Proven ability to take end-to-end ownership of complex projects and transactions, manage competing priorities.
- Demonstrated people leadership, including coaching, delegation, prioritization, performance management, and professional development.
- Highly organized and results oriented with strong attention to detail.
- High integrity, professionalism, sound ethics, and a commitment to continuous improvement.
ACADEMIC CREDENTIALS:- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing in at least one U.S. state bar.
