Full Job Description
SUMMARY OF THE ROLE

The Counsel, Corporate position will be responsible for advising on public company governance, securities law, finance and capital markets transactions, and general corporate matters. This role will work closely with senior management and cross-functional teams including Finance, Accounting, Investor Relations and Human Resources.

KEY RESPONSIBILITIES

  • Support public company governance and securities law compliance, including preparation and filing of SEC reports (Forms 10-K, 10-Q, and 8-K).
  • Assist with the preparation of board and committee materials.
  • Prepare, review, and advise on Section 16 filings and disclosure requirements.
  • Support finance and capital markets transactions, including debt financings, working capital facilities, and derivative transactions.
  • Provide legal support to Investor Relations, including review of press releases, investor presentations, proxy statements, and other stockholder meeting materials.
  • Participate in the development of corporate policies and programs required for a public company, including preparation, implementation and refinement of forms and processes.
  • Promote high ethical standards and advise on compliance with laws, regulations, and company policies.
  • Manage and coordinate outside counsel as needed.


REQUIREMENTS

  • Juris Doctor (JD) degree and active license to practice law in the U.S.
  • Minimum 5+ years of legal experience at a law firm or in-house advising public companies.
  • Experience advising clients in securities law and SEC reporting and compliance matters.
  • Experience with capital markets and corporate finance transactions. Demonstrated project management experience in a dynamic corporate environment.
  • Highly organized with ability to work both independently and in cross-functional teams.
  • Excellent written, verbal and interpersonal communication skills, attention to detail, and the ability to handle multiple projects at one time.
  • A proactive approach to recognizing needs, anticipating issues, solving problems and improving processes.
  • Ability to communicate effectively with senior management and internal and external stakeholders.


Work Environment

This position operates in a professional office environment with occasional work within or outside of a complex construction environment. This role routinely uses standard office equipment such as computers, phones, photocopiers/fax, filing cabinets, etc.This is primarily a sedentary role; however, the incumbent must be able to stand and/or sit continuously to perform all essential job functions for a full shift.
