Responsibilities

  • Conduct and oversee due diligence processes, identifying risks and advising clients on deal structures and regulatory considerations.
  • Advise closely held and middle-market companies, private equity sponsors, and institutional clients on corporate governance and transactional strategy.
  • Maintain and grow a portable book of business while developing new client relationships.
  • Collaborate across practice groups to provide comprehensive client service on complex transactions.
  • Mentor junior attorneys and participate in business development and firm leadership activities.

Full Job Description
Purpose of the Role

We are seeking a Partner-level Corporate M&A Attorney to join our Greenwich office and establish the firm's corporate M&A practice in Connecticut.

This is a growth-oriented role for an experienced attorney with a strong portable book of business and a proven track record in mergers and acquisitions, corporate transactions, and business counseling. You will be instrumental in building the firm's corporate practice in Connecticut from the ground up, driving client development, and contributing to firm leadership.

Responsibilities
  • Lead and manage all aspects of mergers and acquisitions transactions, including asset and stock purchases, mergers, divestitures, and joint ventures.
  • Structure, draft, and negotiate transaction documents, including purchase agreements, letters of intent, shareholder agreements, operating agreements, and ancillary closing documents.
  • Conduct and oversee due diligence processes, identify key risks, and advise clients on deal structure, regulatory considerations, and closing mechanics.
  • Advise closely held and middle-market companies, private equity sponsors, and institutional clients on corporate governance and transactional strategy.
  • Maintain and grow a portable book of business while developing new client relationships and referral networks.
  • Collaborate across practice groups, including Tax, Employment, Intellectual Property, Real Estate, and Litigation-to provide comprehensive client service on complex transactions.
  • Meet billable expectations and contribute to practice group growth and firm initiatives.
  • Mentor junior attorneys and participate in business development and firm leadership activities.

Compensation & Benefits
  • Base Salary (Draw): $225,000-$300,000 annually, based on experience, portable book of business, and anticipated contribution. The draw structure and terms (including recoverability) will be discussed in detail during the interview process.
