Full Job Description
The Position

Reporting to the Director of M&A Sourcing and Execution, the Corporate Development Senior Associate will play a critical role in the execution of acquisitions, serving as a transaction lead on select deals and managing the process from the initial term sheet through closing. This role will be responsible for developing financial models and valuation recommendations, overseeing the financial due diligence process, leading purchase agreement negotiations, and acting as the primary point of contact with the Seller throughout the transaction. The Corporate Development Senior Associate will also work closely with the Integration Team and various business departments to ensure a seamless integration at the time of close. With a strong pipeline of acquisition opportunities across North America ranging from $1M to $50M+ in enterprise value, this role will require managing multiple transactions simultaneously. This is a high-profile position within Culligan Quench and the role will require regular communication with Senior and Executive Leadership Teams, including the President, COO, CFO, VP of Finance and General Counsel

Responsibilities

  • Serve as the primary point of contact with the Seller throughout the transaction process.
  • Oversee the diligence process by developing project plans and timelines, managing the virtual data room, and evaluating information provided by target companies.
  • Conduct financial and operational diligence and coordinate support with 3rd-party vendors.
  • Produce go-forward, 3-statement financial projection models and conduct valuation analysis, including DCF & LBO models.
  • Collaborate with legal counsel to draft, review, and negotiate purchase agreements.
  • Provide regular updates to Management, primarily the Director of M&A Sourcing and Execution, on deal status, key diligence findings, and strategic considerations.
  • Support the Director of M&A Sourcing and Execution and Executive Team in preparing Deal Approval Memos for the Senior Leadership, Board of Directors and Investors.
  • Work closely with the Integration Team and business operations to ensure a successful post-close integration.
  • Capture lessons learned from each acquisition and develop strategies to improve the deal execution process.


Qualifications

  • Experience: 3-5 years of relevant experience, either in a professional services firm, private equity or corporate development/ team.
  • Education: Bachelor's degree required, with formal training in finance and/or accounting.
  • Technical Skills: Ability to develop complex financial models and perform data analysis, with proficiency in Microsoft Excel, Word, and PowerPoint (experience with Salesforce.com and/or MS Power BI is a plus).
  • Communication: Excellent verbal and written communication skills, with the ability to present conclusions and recommendations based on data analysis and lead negotiations with target companies.
  • Project Management: Strong ability to manage multiple projects simultaneously in a fast-paced, results-driven environment.
  • Attention to Detail: High level of accuracy and thoroughness in work.
  • Personal Attributes: Accountability, coachability, and self-awareness.
  • Willingness to travel and work late/weekend hours when necessary to meet deadlines
