JOB SUMMARY:

Under the direction of General Counsel, the Corporate Counsel provides legal advice to all levels of the organization. The position provides recommendations to all levels of management on how to respond to a wide array of legal issues. Works closely with other departments to foresee and protect company against legal risks.

ESSENTIAL/PRIMARY DUTIES:
  • Prepare, review, and negotiate company contracts and other legal documents such as customer and supplier agreements, consulting agreements, software and intellectual property licenses, settlement agreements, warranty documents, and confidentiality agreements.
  • Consult with management, commercial advisors, tax experts, accountants and marketing staff as needed.
  • Provide legal support for the company's digital transformation initiative, including drafting and negotiation of beta testing agreements, data ownership terms, and end-user license agreements.
  • Assist in data privacy and cybersecurity compliance efforts, including participating in incident response activities, drafting privacy policies, and implementing privacy training.

SECONDARY DUTIES:
  • Assist General Counsel on corporate governance matters and support board of directors and committees, including assisting in preparation for board and committee meetings, preparing, managing, and implementing corporate governance and related policies and preparing, managing, and implementing corporate policies.
  • Assist with corporate compliance efforts in areas of FCPA, export regulations, and various healthcare laws. Provide general corporate legal support for formation/dissolution activities, corporate registration, parent/subsidiary relations, and tax matters as requested.
  • Stay up-to-date and keep legal team advised on external governance trends, general legal issues, and best practices.
  • Provide legal training to members of management and business partners as needed.
  • Provide support for M&A transactions, including working on deal structure and LOI terms, planning and assisting in due diligence, drafting, and negotiating deal agreements.
  • Participate in product liability and commercial litigation/defense matters as assigned by General Counsel.

EDUCATION and/or EXPERIENCE:

Graduate of an accredited law school and admitted into the state bar of Ohio. 4+ years of experience in the areas of corporate and contract law. Experience with contract negotiation and general corporate matters.
