Job Summary

This role works directly with and reports to the General Counsel, providing substantive legal support on risk matters, including contracting, compliance, claims and litigation management matters. The Corporate Counsel & Director - Legal and Risk Services will provide practical, day-to-day legal support across multiple jurisdictions and independently manage a broad range of risk mitigation matters while supporting the General Counsel on significant disputes, transactions, and strategic matters.

Essential Functions
  • Serve as a trusted day-to-day legal advisor to business units, providing practical, creative, and solution-oriented counsel that advances business objectives while appropriately managing legal and regulatory risk.
  • Provide legal analysis and practical guidance on litigation, disputes, contracts, and risk-related issues.
  • Assist with dispute and claim management from intake through resolution, including coordinating internal support, external support and supporting response strategy.
  • Lead internal efforts and external support for various stages of responding to subpoenas, summonses, regulatory inquiries, and other third-party information requests, including document collections, reviews and legal hold processes.
  • Draft, review, and revise legal correspondence, agreements, releases, notices, and other litigation-related documents.
  • Review and advise on legal terms in engagement letters, non-disclosure agreements, statements of work, vendor agreements, software agreements, and other commercial contracts for legal and business risk.
  • Assist with acquisition due diligence and integration activities including legal due diligence, contract review, risk mitigation, compliance and post-closing integration matters.
  • Manage litigation and administrative proceedings brought against the firm, including coordinating document collection efforts, supporting case strategy, legal hold processes, document preservation obligations, and correspondence with outside counsel.
  • Provide rapid, proactive, practical, and pragmatic business-oriented legal advice.
  • Coordinate and manage outside counsel, consultants, and other professional advisors as assigned. Manage multiple projects simultaneously while maintaining attention to detail and responsiveness to business needs.
  • Ability to independently manage matters and provide clear, practical advice directly to business leaders.

Perform other legal, compliance, and risk mitigation duties as assigned.

Qualifications
  • J.D. from an accredited law school and active license to practice law in good standing in the state of employment. Candidates practicing under an approved in-house counsel registration or other state-authorized exemption may also be considered, where permitted by applicable law.
  • Minimum of approximately 5 years of experience, whether in a law firm or in-house setting; experience with financial institutions, technology, data privacy, and/or intellectual property are a plus.
  • Strong legal research, writing, and analytical skills, with the ability to translate contract language and case facts into clear, practical guidance.
  • Working knowledge of civil litigation procedure, discovery, and basic contract/indemnification principles.
  • Ability to build effective relationships, communicate clearly with business professionals, and balance legal risk with business objectives.
  • A collaborative, detail-oriented, and proactive approach, with sound judgment in escalating issues appropriately.
  • Strong written and verbal communication skills, with the ability to interface professionally with outside counsel and internal stakeholders.
  • Excellent organizational skills and the ability to manage a high volume of matters simultaneously.
  • Proficiency with Microsoft Office (Word, Excel, Outlook); familiarity with document automation, e-discovery, or matter management tools is a plus.

Working Environment

Position Type / Expected Hours of Work

This position is full-time / 40 hours per week, with some overtime as required.
