Full Job Description
Brayman Construction Corporation in Saxonburg, PA, is seeking an experienced Corporate Counsel to serve as the company's full-time primary legal advisor across multiple business entities. Reporting to the CFO, you will partner with executive leadership, operations, project management, finance, safety, and HR to provide practical legal guidance that supports complex heavy civil infrastructure projects while protecting the company's interests.

This is a hands-on leadership opportunity for an attorney who enjoys solving business problems, negotiating sophisticated contracts, managing construction risk, and working closely with operational teams.

CORPORATE COUNSEL SUMMARY OF RESPONSIBILITIES
  • Provide strategic legal counsel to executives and business leaders on contracts, claims, compliance, insurance, employment, corporate governance, and risk management.
  • Draft, review, negotiate, and manage a broad range of commercial agreements, including public and private construction contracts, subcontracts, joint ventures, real estate transactions, equipment leases, technology agreements, NDAs, and professional services contracts.
  • Advise project teams on contract interpretation, change orders, differing site conditions, claims, payment disputes, termination rights, and risk allocation.
  • Lead construction claims and dispute resolution through negotiation, mediation, arbitration, litigation, and coordination with outside counsel.
  • Develop contract templates, legal policies, and best practices that improve consistency while reducing organizational risk.
  • Ensure compliance with federal contracting requirements, including FAR/DFARS, Davis-Bacon, Buy America, certified payroll, and DBE/MBE/WBE requirements.
  • Support OSHA and MSHA regulatory matters, corporate governance, mergers and acquisitions, real estate transactions, insurance matters, licensing, and regulatory compliance.
  • Supervise paralegals, manage outside counsel relationships and legal budgets, and provide regular updates to executive leadership.


QUALIFICATIONS FOR CORPORATE COUNSEL
  • J.D. and valid attorney's license; must maintain good standing with at least 1 state bar throughout employment (PA, WV, VA, MD bars preferred).
  • Minimum of 8+ years in drafting, redlining, and negotiating construction contracts and managing contract functions.
  • Combination of litigation and corporate experience preferred.
  • Must be experienced with negotiating both commercial and legal terms.
  • Experience drafting and finalizing commercial agreements relative to the construction industry, particularly heavy civil infrastructure projects.
  • Experience with federal agency contracting (FHWA, FTA, Army Corps of Engineers, or similar) and federal procurement regulations a plus.
  • Experience in corporate, real estate, aviation, employment, M&A, or insurance/captive law a plus.
  • Familiarity with surety law, bonding relationships, and performance/payment bond claims a plus.

SAFETY SENSITIVE POSITION

This is a Safety Sensitive Position requiring work on project sites, including federal projects. Project sites contain various safety hazards associated with heavy construction. This position may require working at heights, around heavy equipment, and under constantly changing circumstances. This position will be subject to more stringent drug testing and compliance policies associated with our status as a Federal Contractor.
