Full Job Description
Neo Security is hiring a Corporate Attorney to be a key member of our legal team, based out of our Boston, MA office. You'll own commercial contracting, support corporate governance and compliance, and serve as a trusted legal advisor to Sales, Product, People, and executive leadership. As a security company, we hold ourselves to a high bar on privacy, data protection, and customer trust - this role will play a central part in upholding that bar while helping the business move quickly.

This role suits a pragmatic, business-minded attorney who has worked in-house or at a firm supporting fast-growing SaaS or technology companies, is comfortable owning a high volume of commercial agreements, and can translate legal risk into clear, actionable guidance for non-lawyers.
What You'll Do
  • Draft, review, and negotiate a high volume of commercial contracts, including customer agreements, MSAs, DPAs, NDAs, and vendor/partner agreements.
  • Partner closely with Sales to structure and close enterprise deals, balancing legal risk with deal velocity.
  • Support corporate governance matters, including board materials, equity administration, and corporate housekeeping.
  • Advise on privacy and data protection matters relevant to a security company, including compliance with frameworks such as GDPR, CCPA, and industry-specific regulations.
  • Support security and compliance certifications (e.g., SOC 2, ISO 27001) from a legal and contractual perspective, working closely with Security and Engineering.
  • Manage outside counsel relationships and legal spend for specialized matters (litigation, IP, employment, international).
  • Advise People/HR on employment-related matters, policies, and compliance requirements.
  • Help build and maintain scalable contract templates, playbooks, and processes to support the business as it grows.
  • Support fundraising, M&A, and other strategic transactions as needed, partnering with Finance and outside counsel.
  • Provide practical, business-oriented legal guidance across the company, helping teams understand and manage risk without slowing down execution.
Requirements
  • J.D. and active license to practice law in the United States (Massachusetts bar admission or ability to obtain one preferred).
  • 5+ years of relevant legal experience, including in-house experience at a SaaS or technology company and/or law firm experience supporting similar clients.
  • Strong commercial contracting experience, including drafting and negotiating customer, vendor, and partner agreements.
  • Working knowledge of privacy and data protection law relevant to SaaS and security companies (e.g., GDPR, CCPA).
  • Comfortable operating with a high degree of autonomy and prioritizing a high-volume workload in a fast-paced environment.
  • Strong business judgment, with the ability to communicate legal risk clearly and pragmatically to non-lawyers.
  • Excellent drafting, negotiation, and communication skills.
  • Based in or near Boston, MA, with the ability to work a hybrid schedule.
Nice to Haves
  • Experience supporting SOC 2, ISO 27001, or other security/compliance certification processes.
  • Experience advising on cybersecurity incident response or breach notification requirements.
  • Experience supporting fundraising rounds, board governance, and cap table matters at a venture-backed startup.
  • Experience negotiating enterprise software agreements with regulated-industry customers (financial services, healthcare, insurance).
  • Familiarity with export control or other regulatory considerations relevant to security software sold nationally or internationally.
  • Prior experience as the first or one of the first in-house attorneys at a growing company, comfortable building process from scratch.
