Position Summary
TeraWulf is seeking a Contract Administration Manager to join its Procurement team. This role is responsible for managing the end-to-end contract lifecycle for vendor and supplier agreements, with a particular emphasis on engineering, procurement and construction, as well as general commercial contracts across the enterprise. The Manager will serve as the primary point of coordination between Procurement, Legal, Finance, and Operations, ensuring contracts are executed efficiently, obligations are tracked, and risk is appropriately managed.
Key Responsibilities
Contract Lifecycle Management
• Support the full contract lifecycle for vendor and supplier agreements, from initial request and drafting through negotiation, execution, and closeout.
• Maintain and administer a centralized contract repository; ensure all agreements are properly executed, filed, and accessible to relevant stakeholders.
• Track key contract milestones, renewal and expiration dates, payment schedules, and performance obligations; proactively alert internal stakeholders of upcoming deadlines.
• Coordinate contract amendments, extensions, and terminations in accordance with company policy and applicable agreement terms.
Engineering, Procurement & Construction Management Contracts
• Serve as the subject matter lead for procurement and contract administration related to engineering, procurement and construction (EPC/EPCM) and related commercial scopes.
• Review and administer EPC/EPCM, design-build, and trade subcontractor agreements, ensuring alignment with project specifications, schedules, and budget parameters.
• Coordinate with project management and operations teams to monitor contractor performance, change orders, and warranty claims; assist in resolution of disputes arising under vendor, supplier and agreements.
• Maintain familiarity with prevailing wage requirements, lien waivers, bonding and insurance requirements, and other construction contract compliance obligations as applicable.
General Commercial Contracts
• Administer a broad range of commercial agreements including equipment supply, services, software/SaaS, maintenance, logistics, and facility-related contracts.
• Review vendor-submitted terms and conditions; identify deviations from company standards and escalate issues requiring Legal review.
• Support the development and maintenance of standard contract templates, playbooks, and pre-approved fallback positions in coordination with the Legal department.
Cross-Functional Collaboration
• Act as a primary liaison between Procurement, Legal, Finance, and project/operational teams throughout the contract process.
• Support internal clients in preparing scopes of work, commercial terms, and other pre-contract documentation.
• Assist in vendor onboarding, qualification, and compliance processes as they relate to contractual requirements.
• Prepare and present contract status reports, metrics, and risk summaries for management review.
Process & Compliance
• Ensure contract administration activities comply with internal policies, authorization matrices, and applicable regulatory requirements.
• Identify opportunities to improve contract processes, templates, and systems; drive efficiency and consistency across the Procurement function.
• Support internal and external audits by providing requested contract documentation and data.
Qualifications
Required
• Bachelor's degree in Business Administration, Supply Chain Management, Construction Management, or a related field.
• 5+ years of contract administration or contract management experience, with demonstrated experience in construction, electrical infrastructure, or capital project contracts.
• Working knowledge of contract law fundamentals and commercial terms; ability to identify and escalate legal and business risk.
• Experience administering EPC/EPCM, design-build, or trade contracts in an infrastructure, energy, industrial, or data center environment.
• Proficiency with contract management systems (e.g., Ironclad, Agiloft, Coupa, ArchDesk or comparable platforms) and standard office productivity tools.
• Strong organizational skills and attention to detail; ability to manage a high volume of concurrent agreements across multiple project teams.
• Excellent written and verbal communication skills; comfortable working with senior stakeholders, legal counsel, and external vendors.
Preferred
• Experience in the energy infrastructure, HPC data center, or engineering sectors.
• Certification in contract management (e.g., NCMA CCCM/CPCM, IACCM/WorldCC) or supply chain (e.g., ISM CPSM).
• Experience supporting Legal in contract negotiations and working from redlined documents.
• Exposure to procurement software platforms (e.g., Coupa, SAP Ariba, or similar).
