Your Role at Nutrient...As a Commercial Contracts Counsel, you'll be a core member of the Legal team, reporting directly to the COO and responsible for drafting, reviewing, and negotiating the full range of commercial agreements that support Nutrient's global customer base. You'll work directly with Sales, Finance, and Business Operations to move deals forward efficiently while protecting the company's interests.
This isn't a role where you'll be handed a comprehensive playbook and told to execute it. You will help build the playbook, own the commercial contracts function end to end, and serve as a genuine legal partner to Sales, Finance, and Leadership across a wide range of business matters. What You'll Work On...- Drafting, reviewing, and negotiating a full range of commercial agreements: MSAs, order forms, SaaS subscription agreements, pricing amendments, multi-year commitments, and related contract documents across Nutrient's lines of business as well as for our own internal tool and service procurement.
- Negotiating directly with enterprise customers on licensing terms, data processing agreements, security addenda, and compliance requirements.
- Driving process innovation across the Legal function, with a strong bias toward AI-native tooling, automation, and systems thinking that multiply your output and reduce friction for Sales.
- Supporting renewal and upsell transactions, including pricing amendments, scope changes, and multi-year commitments.
- Drafting and maintaining negotiation playbooks, pre-approved positions, and agreement frameworks that empower Sales to move quickly and close confidently.
- Advising on regulatory developments affecting contract terms, including GDPR, DORA (EU Digital Operational Resilience Act), US state privacy laws, and the European Accessibility Act.
- Advising on contract enforcement matters and supporting the Finance team with legal escalation procedures as needed.
What You'll Bring...Required Experience, Skills, and Attributes:- JD from an accredited law school and active membership in good standing in at least one US state bar, preferably North Carolina.
- 2+ years of relevant legal experience (whether in-house, at a law firm, or a combination). Relevant non-legal business experience can also be counted towards this requirement.
- Exposure to international legal/commercial terms, particularly those relevant to SaaS contracts.
- Familiarity with AI tools in a legal context, and the judgment to know when to use them, when to verify them, and how to leverage them to deliver faster, better work.
- Demonstrated ability to independently negotiate, draft, and finalize complex contractual arrangements with meticulous attention to detail.
- Excellent written and verbal communication skills, with the ability to translate complex legal concepts into practical business guidance.
- A track record of independently negotiating and finalizing complex contracts, with experience building the processes and templates that make future deals faster and more consistent
Strongly Preferred:- In-house experience at a B2B software or technology company.
- Familiarity with EU regulatory frameworks (GDPR, DORA, European Accessibility Act) and their impact on commercial contract terms.
- Experience with international customers or clients and multi-jurisdictional deal structures.
- Background in IP/software licensing, data privacy, or information security compliance.
- Experience with contract management tools, Jira-based legal ops workflows, or similar ticketing systems.
