Job Description:

AVP, ASSISTANT GENERAL COUNSEL - POSITION SUMMARY:
  • Serve as legal advisor and strategic business partner to internal clients, with a focus on commercial technology transactions, including IT, SaaS, data-use, and artificial intelligence-related agreements.
  • Draft, review, and negotiate a broad range of complex commercial agreements, including software licensing, cloud services, data sharing, AI/ML-enabled solutions, vendor, and strategic partnership agreements.
  • Partner directly with business, procurement, IT, information security, and compliance teams to identify and mitigate legal, operational, and technology-related risks in transactions.
  • Advise on data governance, privacy, security, and AI-related legal considerations, including appropriate risk allocation and regulatory implications.
  • Structure and negotiate enterprise-level transactions, balancing legal protections with business objectives and operational realities.
  • Serve as a strategic legal partner supporting international expansion and commercialization initiatives, including advising on cross-border technology transactions and market entry considerations.
  • Provide practical, business-oriented counsel on proposed agreements, transactions, and emerging legal issues related to technology and digital innovation.
  • Support due diligence and integration activities for transactions involving technology, data assets, or vendor relationships.
  • Develop, maintain, and improve contract templates, playbooks, and internal guidance materials to enhance scalability and consistency in contracting processes.
  • Coordinate and manage matters with outside counsel, as needed, to ensure efficient and cost-effective support.
  • Advise on contracting policies, procedures, and best practices, and contribute to continuous improvement of legal team processes and tools.
  • Foster strong cross-functional collaboration and communication to support business objectives and promote effective partnership with legal.
  • Works closely with leadership and teammates to improve work relationships, build morale, and increase productivity and retention.
  • Up to 25% travel.


DESIRED PROFESSIONAL SKILLS AND EXPERIENCE:
  • J.D. degree from an ABA-accredited law school.
  • Licensed to practice law and in good standing with at least one U.S. state bar.
  • 6+ years of relevant legal experience, preferably with a combination of law firm and/or in-house experience, with a strong focus on commercial contracting and technology transactions.
  • Demonstrated experience drafting and negotiating complex agreements, including:
    • SaaS and cloud services agreements
    • Software licensing and implementation agreements
    • Data use, data sharing, and data protection agreements
    • AI/ML-enabled products and services
  • Strong understanding of technology-related risk allocation, including indemnification, limitation of liability, service levels, data security, and privacy considerations.
  • Experience working closely with business, procurement, IT, and/or information security teams to support technology transactions.
  • Experience supporting international transactions or cross-border commercial arrangements is a plus.
  • Healthcare industry experience preferred.
  • Excellent oral and written communication skills, with the ability to translate complex legal concepts into practical business advice.
  • Strong organizational skills and attention to detail, with the ability to manage multiple priorities in a fast-paced environment.
  • Ability to work independently while exercising sound judgment and appropriately escalating issues.
  • Strong interpersonal and stakeholder management skills, with a collaborative, solutions-oriented approach.
  • Demonstrated strategic thinking and business acumen, with the ability to balance legal risk and commercial objectives.
  • Proficiency with Microsoft Office tools (Word, PowerPoint, Outlook, Excel); experience with contract lifecycle management tools is a plus.

COMPENSATION:

The salary range for this position is $200,000-$220,000. Final determinations may vary based on several factors including but not limited to education, work experience, certifications, geographic location etc. This role is also eligible for an annual discretionary bonus.
