Responsibilities- Advise on legal, regulatory, and reputational matters for the Investment Banking Division.
- Supervise outside counsel on various capital markets offerings, including IPOs, SPACs, and securitizations.
- Review, negotiate, and draft transaction documents, such as engagement letters and underwriting agreements.
- Coordinate globally with legal and compliance colleagues to stay updated on securities regulations.
- Assist in obtaining internal approvals and ensuring proper governance for securities offerings.
- Liaise with Investment Banking Compliance and Sales & Trading Legal to promote regulatory compliance.
- Research and provide insights on new and proposed securities laws and regulations.
- Support the creation of internal policies and procedures to maintain compliance.
- Collaborate with deal teams and operational teams to execute securities offerings efficiently.
Qualifications- 3-5+ years of debt and/or equity capital markets legal experience at a top-tier law firm or investment bank.
- Significant expertise in advising investment banks on IPOs, Shelf-takedowns, and other ECM deals.
- Proficiency in negotiating with auditors and issuer's counsels for comfort letters and legal opinions.
- Solid understanding of federal securities laws and New York/Delaware corporate law.
- Strong drafting skills, particularly for engagement letters, NDAs, and purchase/placement agreements.
- Excellent academic credentials, including a J.D. from an ABA-accredited US law school.
- Admission to the NY State Bar in good standing is mandatory.
- Willingness to take on drafting responsibilities and work with minimal precedents.
- Exceptional writing, organizational, and interpersonal skills.
- Ability to thrive in a fast-paced, high-pressure environment and interface with senior executives.
