Associate General Counsel

Xavier University invites applications for the position of Associate General Counsel (AGC) to provide expert legal counsel on complex legal issues like contracts, employment, compliance, safety, athletics, academics, constitutional law, civil rights, procurement, contracts, and student matters. The AGC offers proactive, timely, and solution-oriented legal advice to a wide range of university stakeholders.

Reporting to the General Counsel, the AGC anticipates, researches, and identifies legal issues in order to develop legal strategies and solutions in matters involving the Universities activities and operations. The role interacts with university constituents, members of the legal profession, outside counsel, external agencies and others to ensure the university operates within legal and regulatory frameworks. The AGC must demonstrate strong support for the mission, vision, and values of the University.

Job Responsibilities

The Associate General Counsel will:
  • Advise University Leaders and other campus colleagues on a wide variety of matters, including but not limited to contracts and transactional work, construction, real estate, student matters, contracts, donor agreements, intellectual property, civil rights, academic matters, employment law, and regulatory compliance.
  • Provide expert-level support to the General Counsel in their support of the President and the Board of Trustees, including advising on governance matters, strategic planning, enterprise risk management, and board compliance.
  • Reviews, consults on, and drafts, as necessary, University policies, procedures, and constituent handbooks.
  • Drafts, reviews, and negotiates a wide variety of legal agreements and contracts, including but not limited to affiliation agreements, employment contracts, contracts for the purchase of goods and services, real estate transactions, construction projects, technology agreements, athletics, and other legal documents supporting university operations.
  • Represent the University in responses to investigations or inquiries from regulatory agencies (e.g., OCR).
  • Support or oversee litigation, working directly with outside counsel on complex cases, and representing the university in administrative or judicial forums.
  • Serving on and leading University committees as assigned or approved by the General Counsel.
  • Maintains professional growth and development through seminars, professional affiliations and other means to remain informed of developments in legal matters affecting the University's activities and operations.

Qualifications
  • Juris Doctor (J.D.) from an accredited law school
  • Active license to practice law in the State of Ohio, or the ability to obtain licensure in Ohio within 12 months of hire.
  • More than 5 years of progressive legal experience, with responsibility advising complex organizations, including experience relevant to higher education.
