Full Job Description
POSITION OVERVIEW:

Reporting to the General Counsel, the Associate General Counsel ("AGC") is responsible for providing legal counsel and support on a variety of corporate, transactional, compliance, and governance matters for URI. This position will have primary responsibility for certain legal matters and will support other attorneys on other matters, requiring both the ability to handle matters independently as well as the ability to contribute as part of a team. The position may supervise, on a project basis, outside counsel and paralegals.

MAJOR DUTIES AND RESPONSIBILITIES
  • Research and advise on matters of corporate governance, procurement, finance, real estate transactions/projects, law enforcement engagement, and labor relations and employment. Seek advice from outside counsel when needed.
  • Review and advise senior management and other staff on federal, state and City grants, including compliance and regulatory issues.
  • Develop policies and procedures to build out the organization's infrastructure and address risk management.
  • Supporting Board and Committee governance including drafting resolutions and other materials.
  • Work collaboratively with all departments to advise on critical incidents affecting clients, facilities, and/or staff, and track process to resolution.
  • Work collaboratively with Governmental Affairs to understand City and State legislation and regulations applicable to the organization's programs, facilities, and employees.
  • Work collaboratively with Security and Facilities to respond to law enforcement visits and other issues relating to the organization's sites.
  • Develop and manage work plans and provide legal direction and advice on legal strategy.
  • Prepare and deliver regulatory and compliance training.
  • Supervise professional and administrative staff, including with respect to annual filings.
  • Participate in senior leadership and interdepartmental meetings.
  • When necessary and required, perform the duties of the General Counsel and other responsibilities as requested based on department, program and/or organizational needs.

SPECIFICATIONS FOR EDUCATION/CERTIFICATIONS/LICENSES:
  • Admission to the New York State Bar.

REQUIRED SKILLS AND EXPERIENCE:
  • A minimum of 5 years of relevant experience in the practice of law, having a combination of law firm and in-house experience, preferably in government or a nonprofit. Law firm experience which includes not for profit corporate work may substitute for government/nonprofit in-housework. Includes experience in one or more of the following:
    • Laws and regulations applicable to non-profit entities and tax-exempt organizations.
    • Drafting and negotiating a wide variety of contracts.
    • Compliance, risk management, and development of policies and procedures.
  • Experience analyzing, interpreting, and clearly communicating legal strategies and requirements to/for non-lawyer colleagues.
  • Ability to integrate and balance priorities for the benefit of multiple internal clients.
  • Outstanding attention to detail and commitment to excellence in work product.
  • Strong legal, analytical, problem-solving skills and critical thinking skills.
  • Ability to maintain confidentiality and exercise strong judgment and discretion.
  • Excellent verbal and written communication skills.
  • Proficiency with Office 365 or similar suites.

SPECIFICATIONS FOR PHYSICAL REQUIREMENTS:
  • Based in midtown New York office.
  • Hybrid work arrangement with at least 3 days per week in office expected weekly.
  • Will be required to read printed and handwritten materials.
  • Will be required to use computer mouse and keyboard.
  • Will be required to read information on computer screen.
  • Must be able to sit for extended periods of time.
  • Must be able to enter information in digital forms and spreadsheets.

SALARY:$116,000/yr - $150,000/yr
