Position Description

Serves as the Associate General Counsel with authority to act on behalf of the General Counsel and Compliance Officer (GC/CCO) in her absence, including signing authority and decision-making for Legal and Compliance matters. Under administrative direction of the GC/CCO, serves as in-house legal support reporting to the GC/CCO. The Associate General Counsel may provide counsel to the Board of Directors, executive team, and business units on high-stakes legal, regulatory, and risk-management issues, manage daily legal operations, guide regulatory compliance, and support corporate governance. The Associate General Counsel may also manage outside counsel, direct active litigation, and handle pre-litigation disputes to protect company interests while representing ATI in all assigned legal matters and performing related duties as assigned. The incumbent works with and advises senior leaders, supervisors, and staff concerning legal aspects of, and the interpretation, applicability, and compliance with federal and state statutes and regulations as well as internal policies and procedures; oversees the execution of the corporate compliance program, including anti-corruption, privacy, and employment standards and works with the Departments to prepare all documentation in advance of the Compliance Committee Meetings. Oversee ATI's Compliance Monitoring activities and conduct such activities, including auditing and investigating the plan's operations to ensure compliance with all requirements. Additionally, the position provides legal and administrative support and assistance to ATI's GC/CCO, with the authority to assume responsibilities and act on that person's behalf if absent.

Essential Functions:

Legal Responsibilities:
  • Serves as the Associate General Counsel with authority to act on behalf of the GC/CCO in her absence, including signing authority and decision-making for Legal and Compliance matters.
  • Manage daily legal operations
  • In coordination with GC/CCO, provide guidance to business divisions, departments and programs
  • Advise senior leadership and supervisors on various matters such as legal rights, and new and existing laws
  • Manage daily legal operations, guide regulatory compliance, and support corporate governance.
  • Examine, create, draft and review ATI's legal documents, such as employment and vendor agreements, purchase orders, commercial and government contracts and agreements, and other documents as assigned
  • Maintain knowledge of organization's operations and legal documents
  • Lead counsel for all End-User License Agreements and SaaS/vendor terms and conditions
  • Lead counsel for all ITAR/EAR matters related to ATI or its programs
  • Responsible for all discovery associated with litigation, document requests and FOIA
  • Research and prepare reports on routine and unique legal issues which impact ATI
  • Provide accurate, relevant, and timely advice on a variety of legal topics that relate to ATI's business
  • Conduct trademark and service mark reviews, including maintaining trademark and service mark library, coordinating new and renewal trademark and service mark applications
  • Independently, and at the direction of the GC/CCO, interact with outside counsel on all of ATI's legal matters
  • Independently, and at the direction of the GC/CCO, review business and program matters and provide legal advice and guidance to divisions, departments and programs
  • Directly advise senior leadership and supervisors on various matters such as legal rights, risk and new and existing laws
  • Examine, create, draft and review ATI's legal documents, such as employment and vendor agreements, purchase orders, commercial and government contracts and agreements, and other documents as assigned
  • Maintain knowledge of ATI's operations and legal documents
  • Research and prepare reports on routine and unique legal issues which impact ATI
  • Provide accurate, relevant, and timely advice on a variety of legal topics that relate to ATI's business


Compliance Responsibilities:
  • Oversee the execution of the corporate compliance program, including anti-corruption, privacy, and employment standards and works with the Departments to prepare all documentation in advance of the Compliance Committee Meetings.
  • Independently and at the direction of the GC/CCO, drafts company-wide communications related to the Compliance Program and related efforts and impacts
  • Identifies and documents Compliance and Legal Department improvements and identifies opportunities for continual departmental improvements
  • Assists GC/CCO and Compliance Analyst/Manager in analyzing root cause of issues that are raised for compliance and/or legal awareness and advice or action
  • Coordinate and/or draft and update corporate policies independently and/or at the direction of Company Leadership and/or the GC/CCO
  • Drafts company-wide and targeted training and other presentations on legal and compliance matters.
  • Remain current on relevant industry compliance requirements and best practices.
  • Collaborate with cross functional stakeholders to support the continuous improvement of compliance processes
  • Supports Compliance Week and other Compliance Program events and other strategic efforts Assist with the upkeep of the Legal and Compliance Department's SharePoint and wiki site.
  • Works to instill and promote ATI Core Values; seeks ways to have employees embrace Core Values
  • Coordinates and implements ATI policies and procedures
  • Other Compliance Department responsibilities as assigned


Additional Responsibilities:

Qualifications:

Juris Doctorate at least 15 years' related experience

Certified Compliance and Ethics Professional, preferred

Experience as an attorney in a law firm or corporate legal department

Experience in the federal contracting industry and familiarity with rules and regulations related to federal procurement

Experience supporting a corporate compliance program, preferred

Significant legal research and writing, electronic discovery and FOIA experience

Prior experience supervising or coordinating team workload across multiple projects is desirable.

Experience working with/for/as a U.S. Government contractor

Must possess leadership skills including organizing, scheduling, and coordinating work assignments to meet project milestones or established completion dates

Ability to make decisions and use initiative within the scope of regulatory requirements, policies and procedures.

Excellent written and oral communication skills, including the preparation of reports, briefing papers and correspondence.

High-level customer and client service skills, with ability to communicate effectively with a wide range of people.

Individual must be a U.S. citizen by birth or naturalization.

For initial hire, must currently have eligibility or be able to obtain / maintain a DOD security clearance at the minimum level of secret.
