Position Overview
As anAssociateGeneral Counsel,Commercial Transactions you will be focused on energy and infrastructure project development and specific commercial transactions related thereto. You willprovideprofessional legal advice, counsel, and guidance to support the development, construction,financeand management of Invenergys growing renewable and clean energy portfolio.

Responsibilities

  • Provide legal support to Invenergys project development, commercial execution and finance and capital markets teams on a wide variety of commercial transactions, including power purchase and similar offtake agreements,build-transfer agreements,commodity and currency hedge and trading agreements, interconnection agreements, EPC agreements, equipment supply agreements, operations and maintenance agreements as well as debt financing, cash and tax equity financing,and joint ventureagreements.

  • Provide guidance on transactionstructuring.

  • Support the drafting and negotiation of project and financing documentation.

  • Select andefficientlymanage sophisticated outside counsel.

  • Ensure consistency across transactions and compliance with internal policies.

  • The position will also provide legal advice and support in other areas of the company as needed and able.

  • The position will require overtime and travel at times.

Minimum Qualifications

  • JD degreeand admission to practice law in at least one U.S. state

  • 8+years of experience either within a law firm or as in-house counsel supporting utility scale energy project development,financeand M26A transactions.

  • Experience drafting, negotiating, and advising on sophisticated energy related project development,financeand M26A documentation

  • Proven ability as a legal lead to drive transactions to successful completion.

  • Experience researching and analyzing applicable laws and regulations; conducting due diligence reviews; and managing transaction closings.

  • Able to work cross-functionally with internal and external stakeholders under minimal supervision.

  • Excellent communication skills and ability to relay complex concepts to members of management

  • Able to work under minimal supervision

    Base Pay

    $210,000.00 - $242,000.00 USD Annual
    Bonus: 25% - 40%

    The base pay range reflects the minimum and maximum target salary for the position. Invenergy considers a number of factors when determining base pay offers such as the scope and responsibilities of the position and the candidates experience, education and skills.
