Description

Associate Counsel is responsible for all legal tasks relating to commercial loans made to the company's customers, while ensuring the company's business dealings follow relevant legal and internal guidelines. This role requires Associate Counsel to prepare and review legal documents, conduct corporate diligence, assess transactions, and handle a range of other legal tasks, as assigned by General Counsel.

ESSENTIAL DUTIES & RESPONSIBILITIES

  • Draft, negotiate, and review a wide variety of legal documents in a fast-paced corporate environment, with a primary focus on B2B loan transactions (promissory notes, line of credit agreements, etc.)
  • Perform comprehensive due diligence and loan underwriting
  • Regular interaction with customers, outside legal counsel, and agents, as well as company's internal departments and executive team
  • Complete research and analysis of complex legal and compliance issues
  • Identify legal risks and provide viable solutions
  • Assist with corporate acquisitions, legal tasks, and special projects, as assigned by General Counsel or executive team


Requirements

  • Juris Doctorate degree from an accredited law school in the United States
  • 6+ years work experience as a corporate attorney working in private practice or as in-house counsel for a company required; experience with commercial loans and corporate governance strongly preferred
  • Strong attention to detail
  • Must exercise a high level of trustworthiness and integrity
  • Highly analytical with great attention to detail and strong organizational skills
  • Excellent verbal and written communication skills
  • Proficient in MS Office products, including Work and Outlook
