Summary

The Associate Counsel is a broad-based, in-house generalist role providing legal advice and support to shipping businesses within the CMA CGM Group in the U.S. and Canada, under the direction of the Deputy General Counsel. The position supports a wide range of legal matters, including commercial contracts, corporate governance, civil litigation management, legal research and writing, and responses to general legal inquiries from internal stakeholders. This role works closely with business teams across multiple functions and management levels, as well as with outside counsel, to deliver practical, timely, and risk-informed legal guidance. The Associate Counsel plays a key role in supporting day-to-day business operations while helping manage legal risk across the organization.

Functions & Duties
• Structuring, drafting, reviewing, negotiating, and providing general support for commercial transactions, including corporate contracts, vendor sourcing, and customer agreements.
• Respond to general legal inquiries from internal departments. Perform research, analysis, and draft legal memoranda as requested by the Deputy General Counsel.
• Assist with the preparation of legal advice and drafting of corporate legal documents (resolutions, bylaws/operating agreements, etc) in support of corporate governance and transactional projects.
• Provide general civil litigation support, including assisting with case management and litigation strategy, communications with and management of outside counsel, coordinating and communicating with internal stakeholders, drafting discovery responses, document review, assisting in settlement negotiations and attending mediations.

Knowledge, Skills & Abilities
• Strong generalist legal foundation, including broad knowledge of general legal concepts in several areas of law.
• Experience in one or more of the following specific areas: drafting and negotiating contracts, commercial litigation, corporate governance or transactional work.
• Familiarity with statutes and regulations related to the transportation industry.
• Proactive self-starter with the ability to work independently under supervision of the Deputy General Counsel;
• Strong aptitude for managing and prioritizing multiple projects and deadlines;
• Analytical, problem solving, decision making and coping skills;
• Adaptability and comfort in a fast-paced environment;
• Strong oral and written communication skills including the ability to articulate complicated issues in a manner that others can understand;
• Outstanding interpersonal skills including the ability to interact effectively with global clients and customers;
• Strong skills in use of MS Office, including MS Word, MS PowerPoint, and MS Excel spreadsheet systems; and
• Innovative mindset and comfortable using legal technology and tools such as contract lifecycle management tools, matter management software; etc.

Education and Experience
  • Bachelor's Degree; Law Degree Required
  • General Experience 3-5 years

At CMA CGM, we are committed to fair and equitable compensation practices. The expected salary range for this position is $83,472 - $106,424 per year. The actual salary offered will be based on a variety of factors including, but not limited to, the candidate's qualifications, skills, experience, and location.
