Overview

We are seeking an Associate Corporate Counsel to join our Legal team, with the role based in either Denver, Colorado, or Coral Gables, Florida. As a member of the Legal team, this role will support corporate, regulatory, operational, and transactional legal matters for our mortgage servicing and financial services organization. The ideal candidate is a business-minded, detail-oriented attorney with at least 4 years of relevant legal experience in a corporate legal department, law firm, financial services company, or mortgage-related environment.

This is a hybrid position, reporting to the office three days per week (Tuesday through Thursday). Office location options are Denver, CO, and Coral Gables, FL. We offer a competitive compensation package, including a salary range of $140,000 - $162,000, an annual bonus, comprehensive medical benefits starting on day one, and a company-matched 401(k) plan. Compensation may vary based on experience, location, and other job-related factors.

Responsibilities

  • Contract Drafting & Negotiation: Support the drafting, review, analysis, negotiation, and management of a broad range of commercial contracts, especially vendor agreements, ensuring key terms protect the company's interests. Exercise sound legal judgment with potential direction of senior Legal leadership in identifying and mitigating legal risks and provide guidance to business units on contract issues.
  • Corporate Governance: Prepare and manage corporate governance documentation such as corporate formation documents, board resolutions, meeting minutes, and other records, ensuring compliance with applicable corporate governance and regulatory requirements.
  • Regulatory Compliance & Legal Research: Conduct in-depth legal research and provide analysis on relevant federal, state, and local laws, regulations, and case law to inform company policies and business decisions. Collaborate with the Compliance team to ensure business practices align with legal and regulatory standards and assist in preparing responses for audits or regulatory inquiries as needed.
  • Mortgage Servicing Rights Support: Assist in preparing, reviewing, and organizing documentation related to the purchase and sale of mortgage servicing rights (MSRs), including contracts, indemnification agreements, power of attorney documents, transfer agreements, and due diligence materials.
  • Intellectual Property & Brand Protection: Support the management and maintenance of the company's intellectual property portfolio - with a primary focus on trademarks and limited support for patent matters as needed - by coordinating trademark applications, registrations, and renewals through outside counsel to ensure timely and compliant filings. Provide internal guidance to business and marketing teams on proper brand and trademark usage to promote consistent branding and safeguard the company's IP rights.
  • Cross-Functional Business Advising: Provide legal support and practical guidance to various departments on routine legal questions and strategic initiatives, providing timely guidance on routine legal questions and strategic initiatives. Partner with business teams to help facilitate solutions that meet business objectives while complying with legal requirements.
  • External Counsel & Dispute Coordination: Assist in coordinating with outside counsel on specialized matters or disputes, supporting matter strategy, and helping ensure external legal resources are effectively aligned with the company's interests.
  • Transaction Support: Assist with corporate transactions, including due diligence, document preparation, and closing and post-closing compliance.
  • Continuous Improvement: Contribute to developing standardized legal processes, templates, and best practices to enhance departmental efficiency and consistency. Partner with paralegals and support staff on projects, cultivating cross-training and efficient work distribution.
  • Document Management: Maintain legal filing systems, databases , and other organizational tools.

Qualifications

  • Juris Doctor (J.D.) degree from an accredited law school and active admission to a state bar in the United States, along with the ability to obtain and maintain any required in-house counsel registration in the applicable jurisdiction (e.g., Colorado or Florida).
  • At least 4 years of substantive post-J.D. experience as a practicing attorney, preferably in a corporate, transactional, financial services, mortgage servicing, or law firm environment.
  • Familiarity with business transactions, corporate governance, contract law, vendor/third-party risk, and compliance in the financial services, mortgage servicing, or mortgage industry is preferred.
  • Exceptional legal research abilities and written/oral communication skills.
  • High attention to detail, strong organizational and project management capabilities.
  • Ability to manage multiple projects simultaneously, meet deadlines in a fast-paced environment, exercise sound legal judgment, and escalate issues appropriately.
  • High level of integrity, professionalism, and discretion when dealing with sensitive legal matters.
  • Collaborative mindset and ability to work effectively with cross-functional teams.
  • Proactive mindset with a strong desire to learn and a willingness to take on new challenges.
  • Must be tech-savvy and have strong skills in Word, Excel, PowerPoint, and Outlook.


Licenses:
  • Active license to practice law (member in good standing of a state bar).
  • Ability to obtain and maintain any required in-house counsel registration in the applicable state of employment (e.g., Colorado Single Client Counsel registration or Florida Authorized House Counsel status), as applicable.


Benefits & Compensation:

  • This is a full-time, salaried exempt position. The estimated annual base salary range for the Corporate Counsel role is $140,000.00 to $162,000.00; actual compensation will be determined based on the individual's experience, skills, qualifications, and internal equity considerations. The role is also eligible for annual performance bonuses.
