Job Description:

Caterpillar Inc. is seeking an accomplished and business-focused Assistant General Counsel - Legal Tax with significant experience in international and United States taxation of corporations to join our world-class Legal Tax Team. This is a unique opportunity to play a critical role in shaping the tax strategy of one of the world's most recognized and respected manufacturers.

As a trusted advisor to the business and a key partner to Caterpillar's Global Tax Team, you will provide strategic legal guidance on complex U.S. and international tax matters that directly influence the company's global operations and growth. Your work will span high-impact areas including mergers and acquisitions, international tax planning, tax treaty interpretation, repatriation strategies, dispute resolution across multiple jurisdictions, and initiatives designed to optimize global tax efficiency while ensuring full compliance with regulatory requirements.

This role offers the opportunity to collaborate with senior leaders across the enterprise, navigate sophisticated global tax challenges, and help drive business outcomes on a worldwide scale.

What You Will Do:

  • Support legal aspects of global tax controversies, including, for example, U.S. federal and state controversies in the audit, appeals, and potentially litigation proceedings
  • Provide legal tax support on M&A and VC deals, including reviewing, preparing and negotiating tax provisions in legal agreements
  • Manage certain intercompany agreement preparation processes to ensure proper documentation to satisfy transfer pricing and other requirements
  • Support specific projects or transactions in cooperation with Global Tax team and business unit counsel, as needed, including the implementation of legal entity and business realignments
  • Work with Global Tax and other members of the Legal Tax Team to provide tax legal advice and interpretation of international and U.S. tax law
  • Research complex tax issues and prepare memoranda related to key tax positions or planning initiatives
  • Develop a strong relationship with the Global Tax team and business unit teams
  • Manage outside counsel, consulting, and accounting firms, as needed
  • Support tax-related legislative and regulatory activities

  • Organizational Leadership: Knowledge of leadership concepts and ability to use strategies and skills to enlist others in setting, embracing and achieving objectives
  • Resource Management: Knowledge of the resources required to achieve business objectives; ability to plan, mobilize and distribute resources to fulfill business objectives and plans
  • Legal Analysis: Knowledge of methods and tools used in legal analysis; ability to read, interpret and draw accurate conclusions from both legal and factual information
  • Legal Function: Knowledge of the major responsibilities, accountabilities, and organization of the legal function or department; ability to provide legal consulting, advice and assistance

Degree and Experience Requirements:

  • J.D. from an accredited law school with strong academic credentials
  • Eligible to practice as in-house counsel in Texas
  • Significant experience in the practice of U.S. and/or global tax law, preferably with a major international law firm, advising multinational companies
  • Subject matter expertise in one or more of the following tax areas: global tax controversy, M&A tax, US and international tax planning, and/or transfer pricing
  • Experience drafting intercompany agreements and tax provisions in third-party commercial agreements
  • Ability to incorporate quantitative and financial aspects of transactions into analysis, CPA helpful

Top Candidates Will Also Have:

  • Significant U.S. and international tax controversy experience
  • Experience in implementing and/or managing global tax planning and analysis
  • Excellent interpersonal and collaborative skills with demonstrated ability to impact, influence, and negotiate with internal and external resources
  • Results-oriented - willing to take initiative, identify risks, make decisions, and take responsibilities

  • The primary location for this position is Irving, TX
  • Domestic relocation assistance is available for those who qualify

  • This position is eligible for stock or other equity grants pursuant to Caterpillar’s long-term incentive plan

Summary Pay Range:

$227,760.00 - $341,640.00

Compensation and benefits offered may vary depending on multiple individualized factors, job level, market location, job-related knowledge, skills, individual performance and experience. Please note that salary is only one component of total compensation at Caterpillar.
