Full Job Description
The Associate Counsel supports the legal analysis, administration, and execution of Internal Revenue Code (IRC) Section 1031 exchange transactions. This role develops specialized expertise in 1031 exchanges through hands-on transaction support, legal research, and progressive involvement in complex exchange structuring under the guidance of senior attorneys. The Associate Counsel collaborates with exchange officers, sales professionals, and leadership to ensure accurate execution and regulatory compliance. Over time, the role is expected to grow into a trusted subject matter resource supporting both client transactions and internal expertise.

1.Serve as a primary point of contact for clients engaging in forward, reverse, and title-parking exchange transactions, including gathering transaction facts and documentation.

2. Draft, review, and administer exchange agreements, closing documents, and related correspondence under the supervision of senior attorneys and exchange officers.

3. Maintain accurate client and transaction records within customer relationship management and related systems.

4.Coordinate documentation and communications with internal teams and external transaction parties to support timely exchange execution.

5. Assist with legal analysis of Internal Revenue Code Section 1031, Treasury Regulations, Internal Revenue Service guidance, and applicable case law.

6. Support compliance with statutory deadlines, safe-harbor requirements, and internal exchange policies.

7. Identify legal, tax, or transactional risks and escalate complex or non-standard issues to senior legal leadership.

8. Assist senior attorneys and subject matter experts in structuring forward, reverse, and improvement exchange transactions.

9. Conduct legal and tax research related to complex exchange scenarios, including multi-asset and specialty property transactions.

10. Prepare internal reference materials and client-facing explanations related to exchange structures and legal considerations.

11. Observe and progressively participate in client consultations with investors, brokers, attorneys, and other professional advisors.

12. Collaborate with exchange officers, sales professionals, and leadership to support consistent execution and communication.

13. Contribute to internal training, quality assurance reviews, and knowledge-sharing initiatives. Monitor legislative, regulatory, and industry developments impacting Section 1031 exchanges.

14. Perform other duties as assigned within the nature and level of work.
• Juris Doctor (JD) degree from an accredited law school
• Active license to practice law in at least one U.S. jurisdiction
• Minimum of two (2) years of experience practicing law in real estate, transactional, business, or tax-related disciplines
• Coursework, internships, or professional experience involving real estate, tax, or transactional law
• Familiarity with Internal Revenue Code Section 1031 or qualified intermediary services
• Strong legal research, writing, and analytical skills
• Ability to communicate complex legal and tax concepts clearly to clients and internal stakeholders
