Job DescriptionReporting to the Chief Legal Officer, the Vice President, Commercial & Digitalization serves as the senior legal leader accountable for global legal support across digital and technology matters (including cybersecurity), data privacy, real estate, and sourcing activities for UL Solutions. The role partners with enterprise, business, and functional leadership to enable growth, accelerate digital transformation, manage legal and regulatory risk, including through establishing and evolving appropriate technology governance mechanisms to address the adoption of new technologies such as artificial intelligence, and ensure scalable, consistent legal support for customer, supplier, technology, real estate, and data-driven initiatives. The role leads a global team of legal professionals and works closely with other members of the CLO organization and business leadership to deliver practical, business-oriented legal solutions.
Responsibilities- Serve as the senior legal advisor for global digitalization, data privacy, technology, real estate, and sourcing legal matters across UL Solutions.
- Lead the global Commercial & Digitalization legal team, setting strategy, priorities, service standards, and operating model expectations to support business growth and enterprise transformation.
- Oversee legal support for enterprise sourcing and procurement transactions, including strategic customer agreements, master service agreements, global frameworks, channel arrangements, and other high-value contracting matters.
- Provide legal leadership for digital transformation initiatives, technology-enabled offerings, software, platforms, artificial intelligence processes/governance frameworks and risk assessments, data products, automation, cloud services, cybersecurity-related contractual requirements, and emerging technology use cases.
- Lead legal strategy for data privacy and data governance matters, including customer and employee data use, cross-border data transfers, privacy-by-design, data processing terms, incident response support, and compliance with applicable privacy laws and regulations.
- Oversee legal support for global real estate activities, including leases, facility transactions, site rationalization, workplace strategy, property disputes, and related commercial risk matters.
- Develop and maintain scalable contracting playbooks, processes, templates, negotiation positions, approval frameworks, and risk allocation standards that improve speed, consistency, and governance.
- Advise senior leadership on legal implications and risk mitigation strategies relating to digital product strategy, data monetization, technology partnerships, supplier ecosystems, and related enterprise transformation initiatives.
- Manage outside counsel and legal spend for sourcing/procurement, technology, privacy, sourcing, and real estate matters, ensuring effective resourcing and value delivery.
- Build, lead, and develop a high-performing legal team by establishing clear accountabilities, performance objectives, development plans, feedback practices, and adherence to company policies.
- Adhere to the Underwriters Laboratories Standards of Business Conduct, and follow all physical and digital security practices.
- Perform other duties as assigned by the Chief Legal Officer.
Qualifications- Juris Doctor (JD) degree from an accredited law school and generally 15+ years of legal experience, including significant in-house and/or top law firm experience supporting global commercial, technology, privacy, sourcing, or real estate matters.
- Demonstrated experience leading legal support for enterprise sourcing/procurement transactions, digital and technology initiatives, including developing and implementing artificial intelligence governance models and practices, data privacy matters, and/or real estate activities in a global organization.
- Proven ability to advise executive leadership, influence enterprise decisions, and translate complex legal and regulatory issues into practical, business-oriented guidance.
- Deep expertise in contracting risk allocation, including liability, indemnity, warranties, intellectual property, data protection, cybersecurity, compliance, and service-level obligations.
- Strong understanding of global privacy, technology, including issues and considerations relating to the development, adoption and governance of artificial intelligence applications, commercial, procurement, and real estate legal issues, with the ability to prioritize risk in a fast-paced, matrixed environment.
- Proven people leadership experience, including building, developing, and leading high-performing legal teams across geographies and disciplines.
- Experience designing legal processes, templates, playbooks, governance mechanisms, and operating models that improve consistency, speed, and business enablement.
- Excellent communication, executive presence, judgment, collaboration, and stakeholder management skills.
Total Rewards:We understand compensation is an important factor as you consider the next step in your career. The estimated salary range for this position is $250K - $300K and is based on multiple factors, including job-related knowledge/skills, experience, geographical location, as well as other factors. This position is eligible for annual bonus compensation with a target payout of 40% of base salary and a 50% RSU and PSU grant. This position also provides health benefits such as medical, dental and vision; wellness benefits such as mental and financial health; and retirement savings (401K) commensurate with the standard rewards offered in each individual location or country. We also provide full-time employees with paid time off including vacation (25 days), holiday including floating holidays (12 days) and sick time off (72 hours).
