Full Job Description

Under the direction of the Senior Vice President, Senior Tax Counsel, the Tax Director leads the US income tax planning for all of Cencora’s Management Services Organizations (MSO) and all Cencora M&A transactions, including tax planning for all US partnership structures and all acquisitions and dispositions.

Responsibilities

  • Serves as a principal tax advisor to the Cencora MSO management teams.

  • Supervises the Tax Manager MSO’s and Mergers & Acquisitions.

  • Collaborates with internal and external stakeholders to optimize the MSOs effective tax rate and cash taxes and the tax impact of all Cencora acquisitions and dispositions.

  • Performs tax law research and prepares tax law opinions and tax law memorandum supporting the MSO’s US tax planning and the tax efficient structuring of acquisitions and dispositions, including the preparation and review of tax basis studies and analysis when required and the maintenance of capital accounts and tax basis calculations for all Cencora partnerships and partners.

  • Leads Cencora tax due diligence for all Cencora acquisition and disposition transactions, and all MSO merger and acquisition transactions including the planning for the most tax efficient structures for acquisitions and dispositions and partnership structures.

  • Leads the tax review and analysis of the form of acquisition and disposition agreements in coordination with internal and external counsel and tax advisors.

  • Collaborates with and coordinates the activities of internal and external tax subject matter experts (state and local taxation, property taxations, partnership taxations, ASC 740) performing tax due diligence or planning for Cencora MSOs or Cencora acquisitions or dispositions or partnerships.

  • Prepares or directs the preparation of periodic power point status updates or templates for acquisition or disposition transactions.

  • Collaborate and coordinate with internal tax compliance and tax provision subject matter

Education and work Experience

  • Requires a Bachelors degree, a CPA and a Juris Doctor degree from accredited institutions and law schools.

  • Minimum of 5 to 10 years’ experience, including substantial experience in partnership taxation with a major law firm or big 4 accounting firm.

  • Extensive knowledge of the US Internal Revenue Code, including expertise and experience in Subchapter K and the US Treasury Regulations governing partnerships and LLCs.

Certifications

  • Certification in accounting, compliance, privacy, or risk management (e.g., CPA,CCEP, CIPM/CIPP, ISO 37301), or equivalent preferred.

Skills and Knowledge

  • Strong expertise in all aspects of partnership taxation.

  • Substantial experience in conducting in depth tax law research and analysis of partnership tax issues, structuring partnerships, LLCs and joint ventures to optimize tax efficiency, including strategies for formation, reorganization and dissolution.

  • Strong knowledge and expertise in partnership tax reporting and compliance, including the reporting of income, deductions and credits to partners and tax basis calculations.

*This Salary Range reflects a National Average for this job. The actual range may vary based on your locale. Ranges in Colorado/California/Washington/NewYork/Hawaii/Vermont/Minnesota/Massachusetts/Illinois State-specific locations may be up to 10% lower than the minimum salary range, and 12% higher than the maximum salary range.
