Full Job Description
As Staff Attorney - Contracts, you will be responsible for providing day-to-day legal services to branch and corporate department clients, with a focus on reviewing and assessing risk in contracts for complex construction and building systems projects. This role plays a critical part in protecting the Company's commercial interests while enabling Sales, Operations, and Project Teams to execute work efficiently and profitably within acceptable risk parameters. This person will work directly with the General Counsel and Senior Attorneys to provide legal advice and represent the Company and its interests in relevant matters. The incumbent has a preferred practice history in handling construction-related contracting matters, and providing related legal counseling and advice, as in-house counsel for a sophisticated building owner/builder, developer, construction manager, or general contractor. This individual brings a strong commercial mindset, sound business judgment, and a practical approach to balancing risk mitigation with deal enablement in a fast-paced, sales-driven environment. This Position... Some examples of the work you might do includes: Provides support, guidance, and counsel to the General Counsel and other executives, Senior Attorneys, corporate department clients, and branch clients with respect to risk, risk avoidance and mitigation, legal rights, remedies, and obligations, new and existing laws, and the application thereof to the Company's operations. Partners closely with Operations, Project Management, Sales, Service, People & Culture, Finance, IT and Risk Management to review, redline, and negotiate customer contracts, subcontracts, vendor and supplier agreements, and other contracts, across multiple delivery models, including Design-Bid-Build, Design-Build, service, retrofit, and maintenance agreements, as well as other commercial agreements. Serves as a trusted advisor to Operations and Sales by providing practical, risk-based contract guidance that supports business objectives. Collaborates with leadership and others in Legal to align on acceptable risk thresholds and approval authority. Provides contract-related guidance and education to Branch Managers and their sales and operations teams. Contract Review & Negotiation Reviews and assesses risk in a wide variety of agreements, including prime contracts, MSAs, SOWs, GC and CM-at-Risk agreements, service agreements, and subcontractor and supplier contracts. Coaches and supports branch and corporate department clients in negotiating contract terms. Utilizes AI-enabled contract review tools, and partners with IT and Legal, to support continuous improvement of contracting technology and processes. Conducts legal research and analysis pertaining to issues arising in contracting and other matters, as needed. Coordinates with Risk Management to confirm compliance with contractual insurance requirements. Subcontractor, Vendor & Supplier Agreements Reviews markups of subcontractor, vendor, and supplier agreements and supports branch clients' downstream contracting requirements. Reviews subcontractor, vendor, and supplier agreements to ensure alignment with prime contract obligations; ensures appropriate flow-down of contractual terms and risk allocation. Partners with project teams to identify and mitigate supply chain, delivery, and commercial risks. Governance, Process & Continuous Improvement Understands and applies Company contracting policies and procedures. Assists in the development and refinement of contract playbooks, clause libraries, risk assessment tools, templates, approval workflows, and negotiation strategies. Periodically, on an as-needed basis, supports the Company's in-house attorneys in evaluating branch clients' claims and financial pursuits, including disputed change orders, delay and impact claims, and other claims for additional compensation in accordance with Company policies, and supports branch clients' negotiations with customers related thereto. Periodically, on an as-needed basis, supports the Company's in-house attorneys in resolving issues, disputes, and claims arising out of the Company's operations, including contract performance, claims, employment, and legal and regulatory compliance. Periodically, on an as-needed basis, supports the Company's Corporate Departments' contracting needs. Performs other duties as assigned by the Legal team. What You Need... Licensed to practice law and in good standing with the state bar or other governmental entity that regulates the practice of law in at least one state where the Company maintains an active office. At least five (5) years of practice in related fields. Excellent time management skills and ability to work independently. Exhibits professionalism and the ability to work collaboratively with others in the Legal, Risk Management and Compliance Department and the Company. Has regular access to the Internet. Ability to travel up 10% of the time. Preferred Qualifications: Resides near one of the Company's active office locations, with strong preference for residence near the Company's office in Orlando, FL or Tampa, FL. 10-15 years' experience, with at least 5-7 years' experience in reviewing, redlining, and negotiating contracts in construction, building systems, engineering, or industrial services, and providing related legal counseling and advice and/or at least 5-7 years' experience as in-house counsel for a sophisticated building owner/builder, developer, construction manager, or general contractor. Some exposure to transactional, public company, and/or employment legal issues. Conduct Standards: Maintains appropriate Company confidentiality at all times. Work Environment: This position operates primarily in a remote home office environment, with occasional operation in a professional office environment, subject to the discretion of the General Counsel and compliance with the Company's Work from Home Policy, which Policy may be modified from time to time, and routinely utilizes standard office equipment, such as computers, phones, and printers. Work tasks may occasionally necessitate travel to local job sites, which means intermittent exposure to the conditions typically associated with a shop environment or construction site. Physical Demands: In performing the duties of this job, the incumbent is regularly required to sit, stand, walk, talk, hear, perform repetitive motion, and possess an appropriate degree of both visual acuity and manual dexterity. This is considered a sedentary position, which means possible exertion up to ten (10) pounds of force occasionally, and/or negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects.
