Job Title: Senior Underwriter - TRI

Location: Remote - USA

Role Overview

Researches, underwrites, and supports transactional risk insurance policies, including drafting, negotiating, and adapting policy terms.

Key Responsibilities
  • Identify deal risks through the study and analysis of merger and acquisition (M&A) transaction documentation, both public and private, as well as financial statements, due diligence reports, etc.
  • Review M&A insurance submissions, prepare and submit quotes, liaise with brokers, and secure business.
  • Provide support to Senior Underwriters in all stages of the underwriting process, as well as Account Management, including monitoring transaction status, quoting and policy progress, premium statements, and policy-related documentation.
  • Draft, negotiate, and adapt policy terms for the specific risks and challenges an M&A transaction presents.
  • Assist and oversee the performance of external legal counsel representing the company in each M&A deal.
  • Develop and maintain relationships with brokers, lawyers, private equity firms, deal principals, and colleagues from Tokio Marine HCC offices worldwide.
  • Coordinate and/or participate in special projects including underwriting standards, best practices, and legal compliance.
  • Attend off-site conferences, trade shows, seminars, and meetings.


What You Bring
  • Minimum 5 years of relevant and progressive experience in investment banking, advisory roles in financial services, private equity, legal service, or relevant experience in financial lines underwriting
  • Bachelor's degree in Legal Studies, Economics, Business, Accounting, Finance, or related field or the equivalent education and/or experience
  • Master's degree or Juris Doctorate preferred
  • Preferred specific experience with negotiating or mediating representations and warranties or other transactional risk insurance
  • Excellent written and verbal communication skills in English with an emphasis on confidentiality, tact, and diplomacy (additional language skills are a plus)
  • Basic knowledge of legal exposures in transactions (taxation, breaches, litigation, price adjustment, damages, etc.)
  • Understanding of legal documentation, financial statements, and tax issues
  • Possess and have ability to apply broad knowledge of principles, practices, and procedures
  • Exceptional organizational and analytical skills; demonstrated ability to manage multiple tasks simultaneously
  • Ability to work in stressful situations
  • Ability to work in a fast-paced environment and complete on tight deadlines
  • Strong negotiation and communication skills
  • Knowledgeable of industry changes, legal updates, and technical developments related to applicable area of the Company's business to proactively respond to changing business environment
  • Intermediate proficiency and experience using Microsoft Office package (Excel, Access, PowerPoint, Word)

Pay Transparency

The pay range for this position is $225,000-$375,000 which includes geographic adjustments, where applicable. The pay range is the range THMCC, in good faith, believes is the range of compensation for this role at the time of this posting.
