General Summary:

The position provides advanced paralegal support to the Governance and Transactions Team for a variety of corporate workstreams with a focus on global subsidiary maintenance, governance and contracting - reporting to the Assistant General Counsel.

Key Duties and Responsibilities:
  • Partner with the Corporate Governance and Disclosures Team in all governance matters and management of Vertex's legal entities, assuming significant independent responsibility for such matters.
  • Manage the board meetings for all international subsidiaries with primary responsibility for all related matters.
  • Manage and liaise with external local counsel to draft/review documents related to entities, including board and shareholder meeting minutes and other compliance documentation.
  • Draft and review advanced/complex legal documents such as corporate governance documents, correspondence and regulatory filings.
  • Perform high-level legal research and analyze relevant statutes, decisions, codes, etc., providing findings and advice to Counsel.
  • Within established company and legal requirements, negotiate and review commercial contracts and related documents.
  • Interpret existing contracts and advise on contract interpretation issues, as needed.
  • Assist with transactions and related logistics, as needed, with respect to any necessary filings.
  • Support ongoing company-wide initiatives, including policy development, template standardization and adoption of contract-related technologies.
  • Communicate effectively and in a timely manner with internal stakeholders on legal-related matters, including proactively educating clients on review and submission processes.

Education and Experience:
  • A Bachelor's degree, Associate's degree or paralegal certification
  • Typically requires 6 years of corporate paralegal experience, or the equivalent combination of education and experience
  • Corporate governance experience, including support for global subsidiary management


Pay Range:
$96,000 - $144,000

Disclosure Statement:

The range provided is based on what we believe is a reasonable estimate for the base salary pay range for this job at the time of posting. This role is eligible for an annual bonus and annual equity awards. Some roles may also be eligible for overtime pay, in accordance with federal and state requirements. Actual base salary pay will be based on a number of factors, including skills, competencies, experience, and other job-related factors permitted by law.
