Senior Paralegal / Legal Operations Specialist

Location: San Carlos, CA (remote work possible)

As we scale our operations and expand our commercial footprint across multiple geographies, we are looking for an entrepreneurial, highly organized, and detail-oriented Paralegal to join our lean legal team. This role will touch every part of our business, offering a unique opportunity to build scalable legal processes from the ground up and work closely with company leadership.
Position Overview

As our first dedicated Paralegal reporting to the CEO, you will manage day-to-day corporate governance, drive contract lifecycle management, and support our human resources and compliance functions. You will serve as a central traffic controller for legal requests, balancing internal business needs with the coordination of external legal counsel. The ideal candidate thrives in a fast-paced environment, possesses excellent judgment, and isn't afraid to roll up their sleeves to tackle new challenges.
Key Responsibilities
  • Contract Review & Management: Review, modify, and maintain standard commercial agreements, including Non-Disclosure Agreements (NDAs), vendor agreements, independent contractor agreements, terms and conditions of sales/service, and other similar agreements. Establish, maintain and optimize our contract management database.
  • Corporate Governance & Board Support: Maintain all corporate records, prepare basic corporate governance documents, including written consents, board resolutions, and meeting minutes. Assist in compiling and distributing materials for the Board of Directors.
  • Outside Counsel Coordination: Act as the primary point of contact for outside counsel. Track legal spend, manage billing and e-billing systems, and ensure external projects are delivered efficiently..
  • HR & Employment Support: Draft standard employment offer letters, independent contractor agreements, and separation agreements. Assist with equity incentive plan administration (e.g., managing option grants in Carta).
  • Regulatory & Data Request Intake: Coordinate responses to routine inquiries and requests for information from regulatory agencies, insurance brokers, external auditors, and the Board of Directors.
  • Legal Operations & Infrastructure: Build, implement, and scale internal legal processes, templates, and playbooks to accelerate sales cycles and streamline cross-functional workflows.
Qualifications & Skills
  • Experience: 7+ years of experience as a corporate paralegal. Experience inside a high-growth technology startup or a combination of major law firm training and in-house experience is highly preferred.
  • Education/Certification: Bachelor's degree.
  • Technical Proficiency: Comfort adopting and managing modern SaaS tools. Experience with contract management platforms, entity management software, equity management tools (e.g., Carta), and document collaboration spaces (e.g., Google Workspace) is a significant plus.
  • Startup Mindset: Exceptional organizational skills with the ability to prioritize a high volume of moving pieces independently. Strong, clear communication style and the discretion required to handle sensitive, confidential corporate data.
