The Senior Counsel (Transactional-Contracts) reports directly to Shield's General Counsel and supports the Office of General Counsel by serving as Shield's legal advisor for corporate transactional matters, including commercial contracting, vendor management, customer agreements, strategic partnerships, and general corporate transactions. This role provides strategic legal analysis and guidance on contractual rights, obligations and risks, negotiates, drafts, reviews, and manages complex commercial agreements, oversees and contracting processes and contract lifecycle management programs, and partners with internal stakeholders and external counsel to mitigate risk and ensure enterprise-wide adherence to applicable laws and regulations. This is a full-time, exempt position based in Gilbert, Arizona, requiring in-person attendance at least two days per week. Base salary range: $150,000 - $225,000, commensurate with experience and qualifications. This position is also eligible to receive an annual discretionary bonus up to 30% of base salary. This role is designed to grow into a Deputy GC function for the right person.

Essential Functions
  • Lead the drafting, review, negotiation, and management of commercial agreements, including customer contracts, vendor agreements, licensing arrangements, procurement agreements, and strategic partnership agreements.
  • Advise internal teams on contractual risk, liability allocation, indemnification, insurance requirements, intellectual property protections, privacy obligations, and dispute resolution provisions.
  • Develop and maintain contract templates, negotiation playbooks, approval workflows, and contract management processes.
  • Partner with Sales, Procurement, Finance, Operations, Human Resources, and Executive Leadership to support commercial transactions and strategic initiatives.
  • Support the internal Real Estate team, including drafting, reviewing, negotiating, and managing commercial leases, amendments, renewals, licenses, property management agreements, construction and improvement contracts, and other real estate-related documents.
  • Conduct legal analysis and draft legal memoranda, correspondence, contract language, amendments, and transaction-related documentation.
  • Supervise and provide legal oversight to Contract Administrators, Paralegals, and Legal Assistants supporting commercial contracting activities.
  • Serve as primary point of contact for internal teams and Executive Leadership on contract-related matters.
  • Coordinate and manage external counsel, including scoping work, reviewing deliverables, and tracking timelines and budgets.
  • Assist with mergers, acquisitions, strategic partnerships, and other corporate transactions by conducting contract due diligence and advising on contractual obligations.
  • Assist with development, review, and maintenance of contracting policies, procedures, training materials, and governance standards.
  • Identify and escalate material contractual and commercial risks to the General Counsel and recommend mitigation strategies.


Qualifications

  • Minimum of 5+ years of transactional practice (preferably in a business-law or corporate environment).
  • Excellent legal research and writing skills.
  • Highly organized, detail-oriented, and efficient problem-solver with excellent communication skills.
  • A proven track record of proactively identifying contractual and business risks and driving practical, business-aligned solutions from concept through execution is preferred.
  • Experience implementing contract lifecycle management systems and contract governance programs is preferred.
