Job Description Summary
Position Overview:

The Senior Counsel will work closely with Aegon AM's Low Income Housing Tax Credit (LIHTC) platform, including Production (acquisitions), Fund Management, Asset Management, and Investor Relations teams. With experience as a practicing attorney and equipped with a solid understanding of LIHTC legal matters, the Senior Counsel will work closely with the business teams to review documents, engage with outside counsel and ensure that the legal-related requirements of Aegon Asset Management and its investors are satisfied throughout the lifecycle of the investments. The ideal candidate will also have Commercial Mortgage Loan (CML) experience and be able to provide similar services to the CML platform on occasion. The position works with some supervision.

Job Description

Responsibilities:
  • Review, comment on and negotiate LIHTC documents, including Letters of Intent, Limited Partnership Agreements and Fund Agreements.
  • Engage with outside tax counsel, review tax opinions.
  • Oversee the legal due diligence process for individual transactions.
  • Facilitates closings of upper and lower tier LIHTC transactions.
  • Manage post-closing asset management matters which require legal involvement.
  • Structure new tax credit funds for syndication.
  • Manage the due diligence process for admitting new transactions into funds.
  • Respond to investor counsel questions and comments.
  • Possesses LIHTC equity subject matter expertise, with some knowledge of corporate law, tax law, commercial mortgage loan and similar real estate transactions and housing tax credit transactions.
  • Studies proposed and existing legislation affecting the Company and advises departments concerned.
  • Prepares corporate resolutions and forms.
  • Guards against legal risks involving the company.
  • Work may be reviewed.


Required Qualifications:
  • JD degree required.
  • State bar admission.
  • 4+ years of experience.


Preferred Qualifications:
  • 4+ years of LIHTC equity experience.
  • Experience with real estate private equity and commercial mortgage loan transactions.
  • Ability to provide quality legal services, based on experience, while working in a fast paced environment with little oversight.
  • Ability to handle heavy workload in efficient manner. Demonstrate project tracking and prioritization to manage multiple projects with shifting priorities, including status reporting and appropriate follow up.
  • Demonstrate sound business judgment in combination with legal analysis.
  • Ability to work successfully in a team environment. Able to develop rapport with others and recognize their concerns and adapt to varying customer needs; build and maintain long-term associations based on trust.
  • Ability to work well independently, with a remote team.
  • Travel occasionally required.
  • Strong written and oral communication skills.
  • Solid PC skills with proficiency in Microsoft Word and Excel.

The salary for this position generally ranges between $160,000 - $190,000 annually. This range is an estimate, based on potential qualifications and operational needs. Salary may vary above and below the stated amounts, as permitted by applicable law.

Additionally, the position is typically eligible for an Annual Bonus based on the Company Bonus Plan / Individual Performance and is at the Company's discretion.
