Full Job Description

The Corporate Counsel, Sr will serve as a strategic legal partner to the business, advising on a wide range of sophisticated legal matters, including complex commercial transactions, technology-related matters, and strategic deal structures. This role will lead the drafting and negotiation of customer   agreements while supporting sales and corporate initiatives across a global technology organization. The position will also provide legal guidance on intellectual property, privacy, and compliance matters while helping balance legal risk with business objectives.

What you'll be doing

  • Provide ongoing legal counseling in a wide range of legal areas, including intellectual property, software, privacy, product compliance, and commercial transactions.
  • Partner closely with Commercial Sales, Revenue Operations, and executive stakeholders to structure, negotiate, and close complex enterprise technology transactions.
  • Draft, review, and negotiate strategic commercial agreements, including SaaS, cloud, software licensing, subscription, consulting services, and strategic alliance agreements.
  • Support global sales initiatives by balancing legal risk with commercial objectives and enabling efficient deal execution.
  • Strong familiarity and comfort level negotiating data processing addendums with both existing and new customers.
  • Advise on sophisticated commercial deal structures, non-standard contracting arrangements, pricing models, and strategic customer engagements.
  • Advise on data privacy, anti-corruption, and other applicable regulations.
  • Provide legal guidance on emerging technology matters, software licensing models, AI-related considerations, data governance, and evolving regulatory requirements.
  • Develop and implement policies, procedures, and strategic initiatives.
  • Educate internal clients regarding policies, legal issues, commercial contracting, and best practices on an ongoing basis.
  • Ensure compliance with corporate policies and applicable laws and regulations.
  • Manage other attorneys and legal professionals.

Minimum: $163,000 USD Maximum: $277,000 USD
