Full Job Description
Reporting to the Managing Director, Investments, the successful candidate will play an important role in supporting deal teams and portfolio companies in the execution of acquisition and divestiture processes. The successful candidate will work closely with a dynamic team of professionals and collaborate across all four of Novacap's strategies: Technologies, Industries, Financial Services, and Digital Infrastructure. This role is particularly well suited to candidates coming from a financial due diligence, transaction services or M&A background who are looking to broaden their exposure to transaction execution and investment-side decision support.

Key responsibilities

  • Support the financial and tax due diligence process, including coordinating with and overseeing third-party advisors and reviewing diligence findings;
  • Participate in the review of M&A legal documentation including initial indications of interest (IOIs), letters of intent (LOIs) and purchase and sale agreements, with a focus on financial and tax considerations;
  • Prepare and review purchase price calculations, including post-closing adjustments;
  • Prepare and review transaction waterfall analyses and funds flow documentation;
  • Support 100-day integration planning, including onboarding portfolio companies onto Novacap's portfolio monitoring platform (iLevel).

Required skills & profile

  • Bachelor's degree in finance, Accounting, or a related field;
  • CPA designation;
  • 5 to 8 years of relevant experience, including exposure to financial due diligence and financial aspects of mergers and acquisitions;
  • Strong accounting foundation and understanding of quality of earnings, net debt, normalized working capital, purchase price adjustments, and funds flow mechanics;
  • Effective project management skills, with the ability to coordinate multiple stakeholders and advisors across live transactions;
  • Sound professional judgment and attention to detail;
  • Experience with transaction-related tax matters;
  • Bilingual proficiency (spoken and written).
  • Master of Business Administration (MBA), an asset.
  • CFA or CBV designation, an asset.
  • Familiarity with M&A legal documentation, an asset.
