Job Description

As a member of the OCIO team, the OCIO Associate - Paralegal supports private markets investment activities through the review, administration, and coordination of investment documentation. This role works closely with consultants, investment operations, client service teams, external counsel, investment managers, custodians, and administrators to facilitate investment execution, manager onboarding, and ongoing legal processes.

Responsibilities:
  • Review, track, and coordinate execution of subscription agreements, limited partnership agreements, side letters, Most Favored Nation elections, investor questionnaires, transfer documentation, and investment management agreements.
  • Review legal documentation, identify issues requiring attention, and coordinate responses with client counsel and external legal advisors.
  • Assist with private fund subscriptions, closings, amendments, transfers, and redemptions.
  • Maintain organized and accurate legal records associated with private market investments.
  • Support investment manager onboarding and ongoing legal and documentation processes.
  • Coordinate with external counsel, fund managers, custodians, administrators, and other service providers.
  • Monitor contractual obligations, deliverables, and critical deadlines.
  • Manage working relationships with outside counsel and legal service providers.
  • Assist with special legal and investment operations projects as needed.


Requirements:
  • Bachelor's degree and Paralegal Certificate from an accredited institution.
  • Five or more years of paralegal experience in investment consulting, OCIO, asset management, or a law firm environment.
  • Demonstrated experience reviewing and managing private fund documentation.
  • Experience with contract administration and legal operations.
  • Strong understanding of private investment structures and related investment documentation.
  • Exceptional attention to detail, organization, and follow-through.
  • Ability to manage multiple priorities and deadlines in a collaborative environment.
  • Strong written and verbal communication skills.
  • Advanced proficiency with Microsoft Office and document management systems.
  • Experience working with institutional investors and familiarity with ERISA preferred.
