Mergers & Acquisitions Attorney (1-8 Years)

Our strategically growing law firm is seeking a talented Mergers & Acquisitions Associate Attorney to join our corporate practice. This role offers the opportunity to work on sophisticated transactions for clients nationwide, alongside a collaborative team of experienced attorneys. The ideal candidate will thrive in a dynamic environment that combines the resources of a large firm with the flexibility to deliver customized, business-focused solutions to clients facing complex transactions.

Primary Responsibilities:
  • Collaborate with clients to develop and execute transaction strategies aligned with their business objectives;
  • Assist in and manage all phases of M&A and investment transactions, including structuring, due diligence, negotiation, drafting, execution, closing, and post-closing integration;
  • Draft and negotiate definitive transaction documents, including purchase agreements, disclosure schedules, and ancillary agreements;
  • Conduct and manage legal due diligence reviews and summarize findings for deal teams and clients;
  • Analyze legal, regulatory, and competitive considerations affecting transactions across a variety of industries;
  • Advise clients on corporate governance and general corporate matters;
  • Interact directly with business executives, investors, and other transaction stakeholders;
  • Work collaboratively as part of a high-performing deal team, with increasing responsibility as experience grows.

The Ideal Candidate Will Have:
  • 1-8 years of relevant experience in corporate transactions, with a strong interest in mergers and acquisitions;
  • Admission to practice law in Nebraska, or current eligibility for admission;
  • Experience drafting and negotiating transactional documents;
  • Experience with M&A due diligence processes;
  • Excellent academic credentials
  • Ability to clearly and concisely communicate complex legal concepts in both written and oral form;
  • Strong work ethic, attention to detail, and a proactive approach to learning and responsibility;
