Overview

Consilio is seeking a Contract Manager to support the Company's global contract lifecycle management ("CLM") program and commercial contracting function. The Contract Manager will serve as a key liaison between Sales, Commercial Operations, Legal, and Corporate Systems, helping to streamline contract review, negotiation, execution, and reporting processes through Salesforce, Agiloft, and AI-enabled contract review tools.

 

The ideal candidate possesses a strong understanding of contract lifecycle management, experience reviewing commercial agreements, and a passion for process improvement and legal technology. This role will be responsible for managing contract workflows, conducting first-level contract reviews, leveraging AI-enabled review tools, and ensuring agreements are efficiently routed through the appropriate approval and negotiation processes.

 

This position is a critical component of Consilio's legal transformation strategy and will help drive operational excellence, improve speed to contract, and allow attorneys to focus on higher-risk and strategic legal matters.

Responsibilities

 

Contract Review & Negotiation Support

  • Conduct first-level review of client, vendor, and partner agreements.
  • Review agreements against approved legal playbooks, negotiation guidelines, and fallback positions.
  • Identify deviations from standard contract language and route high-risk matters for legal review.
  • Prepare initial contract redlines and proposed revisions.
  • Coordinate contract negotiations with Sales, Procurement, and business stakeholders.
  • Facilitate execution of standard agreements with minimal attorney involvement where appropriate.
  • Track and manage contract obligations and critical deadlines.

Conflict Intake & Review

  • Manage the conflicts intake process for new matters, clients, and engagements.
  • Review conflict submissions for completeness and accuracy.
  • Conduct conflict checks and affiliation research.
  • Analyze conflict reports and identify potential issues requiring further review.

Contract Lifecycle Management (Agiloft)

  • Serve as a primary business user of Consilio's Agiloft CLM platform.
  • Manage contract records, reporting, metadata, workflows, and contract status updates.
  • Ensure proper linkage between Salesforce opportunities and Agiloft contract records.
  • Monitor contract workflow queues and proactively drive matters toward completion.
  • Assist in user acceptance testing ("UAT"), workflow enhancements, and future CLM implementations.
  • Identify opportunities to automate manual processes and improve contract management efficiency.

AI-Assisted Contract Review

  • Utilize AI-enabled contract review tools to analyze agreements and identify legal and commercial risks.
  • Review and validate AI-generated contract redlines and recommendations.
  • Support development and refinement of clause libraries, negotiation playbooks, and AI review criteria.
  • Assist Legal Operations in measuring AI effectiveness and adoption.

Cross-Functional Coordination

  • Serve as a liaison between:
    • Sales and Commercial Operations
    • Legal
    • Corporate Systems
    • Information Security
    • Finance
    • Privacy and Compliance Teams
  • Coordinate contract approvals and stakeholder reviews.
  • Facilitate communication between business teams and attorneys regarding contract status and risk assessments.

Reporting and Analytics

  • Develop and maintain contract metrics and dashboards.
  • Report on:
    • Contract cycle times
    • Volume by agreement type
    • Negotiation trends
    • Attorney escalation rates
    • AI review utilization

  • Provide leadership with insights regarding contracting bottlenecks and process improvement opportunities.

Escalation Authority

The Contract Manager will be expected to independently manage routine contractual issues and escalate matters involving:

  • Limitation of liability deviations
  • Indemnification provisions
  • Intellectual property ownership
  • Data privacy and cybersecurity obligations
  • Regulatory compliance concerns
  • Insurance requirements
  • Non-standard pricing structures

Qualifications
