Reporting to the Deputy General Counsel & Assistant Corporate Secretary, we are hiring a Legal Counsel to join our global Legal team. As our new Legal Counsel, you will play a key part in supporting Altus Group's public company obligations, strategic transactions, and long-term growth initiatives. Working closely with Finance, Corporate Development, senior leadership, and external advisors, you will provide legal support on matters that directly influence the company's strategy, growth, and market presence. You will contribute to acquisitions, divestitures, minority investments, public company disclosure obligations, corporate governance initiatives, and treasury-related matters.
This is an existing remote first role based out of Toronto or Montreal. Occasional in-person attendance may be required for team meetings and key business activities.
As our new Legal Counsel, you will:- Support strategic transactions.You will play a key role in acquisitions, divestitures, minority investments, and other corporate transactions, partnering with Corporate Development, Finance, external counsel, and business leaders to support due diligence, negotiate transaction documents, manage legal risks, and help drive successful outcomes.
- Advise on securities and corporate governance matters.You will support Altus Group's public company obligations, including continuous disclosure requirements, regulatory filings, corporate governance initiatives, and Board and Committee materials. You will help ensure compliance with applicable securities laws and stock exchange requirements while contributing to strong governance practices across the organization.
- Partner with Finance and executive leadership. You will work closely with Finance, Investor Relations, senior leadership, and external advisors on matters related to financial reporting, earnings releases, treasury activities, equity compensation programs, and other initiatives that directly influence the company's strategy, growth, and market presence.
- Provide practical legal guidance.You will identify legal and regulatory risks, evaluate business implications, and provide thoughtful, commercially minded advice that supports decision-making while protecting the interests of the organization.
- Support the company's global operations.You will collaborate with stakeholders across multiple jurisdictions, coordinating with external counsel and business leaders on corporate, governance, and transactional matters that support Altus Group's global operations and growth strategy.
- Contribute to continuous improvement. You will help strengthen legal processes, corporate policies, governance practices, and documentation standards while identifying opportunities to improve efficiency, manage risk, and support the evolving needs of the business.
- Build trusted relationships across the organization. You will act as a collaborative partner to leaders across Legal, Finance, Corporate Development, Investor Relations, and the broader business, bringing sound judgment, strong communication skills, and a proactive approach to problem-solving in a fast-paced environment.
You bring:- The legal foundation. You have a J.D. or LL.B. and are called to the Bar in a Canadian province. You have built your experience within a leading law firm, a public company, or a combination of both, and are looking for an opportunity to apply your expertise within a collaborative, business-focused environment.
- The securities and corporate governance expertise.You have experience supporting public company disclosure obligations, corporate governance initiatives, and securities compliance matters. You are comfortable reviewing disclosure documents, interpreting regulatory requirements, and working with securities regulators and stock exchanges.
- The transaction experience.You have worked on mergers and acquisitions, divestitures, investments, or other corporate transactions and understand the legal, commercial, and operational considerations involved. You have experience reviewing and negotiating transaction documents, supporting due diligence activities, and managing competing priorities in fast-moving environments.
- The business judgment.You can identify legal and regulatory risks while balancing commercial objectives and practical realities. You understand that the best legal advice is not only technically sound but also actionable, pragmatic, and aligned with business goals.
- The ownership mindset.You are proactive, responsive, and highly organized. You take accountability for your work, manage competing priorities effectively, and can be trusted to drive matters forward independently while knowing when to seek guidance or escalate issues.
