About this role:

Wells Fargo is seeking an Executive Director, Senior Lead Capital Markets Document Negotiator to assist the Real Estate Securitization & Capital Markets ("RESCM") Transaction Management Team, and to assume end-to-end accountability of transaction execution and success by focusing on documentation and deal management for Commercial Mortgage-backed Security ("CMBS") transactions..
  • Lead and oversee the administration of policies, procedures, and controls governing the documentation and transaction closing process for RESCM, ensuring consistency, accuracy, and operational excellence.
  • Provide strategic leadership and direction to a team of documentation professionals, including coaching, performance management, talent development, and workload prioritization.
  • Establish and drive the vision for documentation and closing operations to ensure negotiated agreements are executed accurately and in compliance with corporate policies, procedures, and risk standards.
  • Interpret and apply policies, procedures, regulatory requirements, and risk frameworks, exercising sound judgment in resolving issues and escalating matters to executive management when appropriate.
  • Lead the identification, assessment, and mitigation of business, legal, operational, and regulatory risks associated with transaction documentation and closing activities.
  • Advise senior leadership on industry trends, market developments, and emerging documentation or transaction risks, recommending strategies to proactively address potential impacts.
  • Build strong partnerships and influence stakeholders across all levels of the organization, including senior executives, to drive alignment, resolve complex issues, and achieve business objectives.
  • Develop and maintain key performance metrics, ensuring team accountability, operational effectiveness, and adherence to service level expectations.
  • Foster a culture of collaboration, accountability, risk discipline, and professional development while supporting organizational growth and strategic priorities.


Required Qualifications:
  • 7+ years of Capital Markets Document Negotiation experience, or equivalent demonstrated through one or a combination of the following: work experience, training, military experience, education


Desired Qualifications:
  • Juris Doctor (JD) or equivalent law degree
  • Experience closing CMBS transactions, with responsibility for full end-to-end deal execution.
  • Proven ability to negotiate complex capital markets documentation, including credit agreements.
  • Knowledge of lending products, loan lifecycles, funding mechanics, deal structures, and funds flows, with direct deal team experience.
  • Execution-focused mindset with the ability to prioritize effectively, resolve issues and perform in a fast-paced, deadline-driven environment with a willingness to work longer hours as deal flow dictates.
  • Process and execution focused, with experience partnering with clients to collect and review loan documentation in preparation for large or complex closings, while building strong internal and external relationships.
  • Effective collaborator with strong communication, analytical skills, time management and attention to detail, able to work seamlessly across teams and senior leadership.
  • Excellent communication, relationship-management, and project-management skills.
  • Demonstrated openness to feedback and attention to detail to support continuous refinement of documentation and processes.

  • This position is subject to FINRA background screening requirements. Candidates must successfully complete and pass a background check prior to hire. Successful candidates must also meet and comply with ongoing regulatory obligations, which include periodic screening and mandatory reporting of certain incidents.


Pay Range

Reflected is the base pay range offered for this position. Pay may vary depending on factors including but not limited to demonstrated examples of prior performance, skills, experience, or work location. Employees may also be eligible for incentive opportunities.
$185,000.00 - $300,000.00
