Full Job Description
THE ROLE

We're looking for a Director of Legal and Business Affairs to join ABTC's legal and business team. This is not a traditional legal role. You'll sit at the intersection of law, strategy, and operations, working directly with the General Counsel on everything from high-stakes transactions and SEC filings to business initiatives and company-building.

You'll be a thought partner, a first-draft writer, a project owner, and a problem-solver. Some days that means digging into a contract; others it means owning a cross-functional workstream or helping prepare materials for the board. You bring the rigor of big law and the adaptability of someone who thrives in environments where the playbook is still being written.

Bitcoin isn't just a product here - it's the thesis. Genuine interest in the asset, the industry, and where it's going is a must.

WHAT YOU'LL DO

Legal & Transactions
  • Support execution of corporate transactions, including capital markets activity, M&A, and strategic partnerships
  • Draft and review contracts, term sheets, board resolutions, and other legal documents
  • Assist with SEC reporting and compliance (proxy statements, periodic filings, Section 16)
  • Support corporate governance, including board and committee meeting preparation

Business & Operations
  • Own discrete business and operational projects end-to-end, not just the legal pieces
  • Help build and maintain internal processes as the company scales
  • Prepare materials for executive and board-level audiences
  • Identify problems before they become fires, and propose solutions

Legal & Business Affairs Functions
  • Act as a force multiplier for the General Counsel, managing workstreams, tracking open items, and ensuring nothing falls through the cracks
  • Coordinate across internal teams (finance, IR, operations) and outside counsel
  • Draft communications, memos, and briefing materials
  • Handle sensitive matters with sound judgment and discretion

WHAT WE'RE LOOKING FOR
  • 2-5 years of Big Law experience, with meaningful exposure to corporate, M&A, capital markets, or securities work
  • Admitted to practice in at least one US jurisdiction (active bar membership preferred)
  • Comfortable operating in a public company environment - you understand the stakes of disclosure, timing, and governance
  • Startup mentality - you roll up your sleeves, move fast, embrace ambiguity, and don't wait to be told what to do
  • Strong written and verbal communication skills; you can write a board memo and a term sheet comment with equal facility
  • Genuine interest in Bitcoin - you've thought seriously about the asset, the technology, and the industry
  • High ownership, low ego
