We are currently looking for a motivated and talented Corporate Counsel to join our Somerville office.
Job Purpose
The Corporate Counsel will work closely with executive leadership, Product, Sales, Finance, Risk and Compliance, Operations, and external counsel to help drive business objectives while effectively managing legal risk. The successful candidate will be responsible for negotiating and drafting customer and vendor agreements, advising internal stakeholders on legal risks, fulfilling compliance requests, liaising with external counsel as needed, and supporting strategic corporate initiatives as the company continues to expand its product offerings and global footprint.
Key Responsibilities:
- Draft, review, and negotiate a broad range of commercial agreements with customers, vendors, and business partners.
- Prepare and negotiate side letters, contract amendments, statements of work, and other transaction-related documentation.
- Develop, maintain, and improve contract templates to support existing and new products, services, and business initiatives.
- Advise internal stakeholders on contract interpretation, commercial risk, and legal issues arising during negotiations and throughout the customer lifecycle.
- Partner closely with Sales, Product, Development, Finance, Risk and Compliance, and Security teams as well as executive leadership, including members of the C-suite, to provide timely, practical legal advice.
- Respond to legal, compliance, due diligence, security, and Know Your Customer (KYC) requests and questionnaires.
- Help establish, maintain, and continuously improve contract lifecycle management (CLM) processes, documentation standards, and legal operations workflows.
- Identify opportunities to automate and streamline legal processes, including evaluating, implementing, and using technology and AI tools where appropriate.
- Coordinate with outside counsel on specialized legal matters when necessary.
- Monitor legal developments affecting the company's business and advise stakeholders on potential impacts.
- Support additional corporate, governance, compliance, and strategic initiatives as assigned.
Qualifications
Required
- Juris Doctor (J.D.) from an accredited law school.
- Active membership in at least one U.S. state bar and eligible to register as in-house counsel in Massachusetts.
- Approximately 5-7 years of relevant legal experience in a law firm and/or in-house legal department.
- Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.
- Strong analytical, negotiation, and problem-solving skills.
- Ability to communicate complex legal concepts in a practical, business-focused manner.
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment.
- Strong interpersonal and communication skills (both oral and written) and proven ability to build robust working relationships across all levels of an organization.
- Self-motivated with the ability to work independently while collaborating effectively with cross-functional teams.
- Ability to make recommendations aligned with core business strategies, exercising sound judgement and based on the principles of law and corporate policy.
- Background in establishing/maintaining document management processes.
- Strong leadership skills.
Preferred
- Experience supporting financial technology (FinTech), financial services, SaaS, enterprise software, or technology companies.
- Familiarity with financial services regulatory and compliance matters
- Experience advising on privacy and data protection laws.
- Experience responding to customer compliance, security, vendor due diligence, and KYC requests.
- Experience implementing or utilizing AI-powered legal tools and other legal operations technologies to improve efficiency and scalability.
- Experience with CLM platforms and legal workflow automation.

The salary range for this role is $180,000- 235,000, depending on relevant experience.
