Full Job Description
The Opportunity:

As Corporate Counsel, this role will lead with MeriCal's internal legal function and overall legal strategy, serving as a trusted advisor to the executive team and key business stakeholders. The position is responsible for ensuring compliance with applicable federal, state, and international law and regulations, while proactively identifying, assessing, and mitigating legal and regulatory risk across the organization.

The Corporate Counsel will partner closely with leaders across all functions to support day-to-day business operations, providing practical and business-oriented legal guidance. This includes reviewing, drafting, and negotiating a wide range of commercial agreements; advising on contractual risk; managing legal spend; and identifying, engaging, and overseeing outside counsel as appropriate to ensure high-quality, cost effective legal support.

In addition, this role will provide legal guidance related to information technology, cybersecurity, and data privacy matters, including compliance with applicable privacy and data protection laws such as CCPA and GDPR. The Corporate Counsel will collaborate with internal stakeholders to advise on risk management strategies, incident response considerations and regulatory obligations related to data handling and information security.

The Corporate Counsel will also play a key role in supporting enterprise risk management efforts and strengthening MeriCal's governance framework. This includes helping to design, review, and maintain corporate policies, compliance programs, and internal controls, as well as advising on corporate governance matters that support MeriCal's strategic objectives. Through these efforts, the role will help enable MeriCal's continued growth while effectively navigating an increasingly complex and evolving legal and regulator landscape.

What You'll Do:
  • Intellectual Property: Advise on intellectual property matters, including trademarks, patents, copyrights, and trade secrets. Develop strategies to protect the company's intellectual property.
  • Corporate Governance: Assist in the management of corporate governance matters ensuring compliance with regulatory requirements and internal policies.
  • Contract Review and Drafting: Draft, review and negotiate a wide range of contracts and agreements, including commercial, vendor, and partnership agreements.
  • Legal Research and Writing: Conduct comprehensive legal research and provide clear, concise legal writing to support various business initiatives and legal matters.
  • Regulatory Compliance: Ensure compliance with federal, state, and local laws and regulations, including monitoring changes in legal and regulatory requirements.
  • Litigation Support: Provide support for litigation and dispute resolution, including case management, discovery, and coordination with external counsel.
  • Privacy and Information Security: Interpret laws and regulations (e.g., CCPA/CPRA/GDPR if applicable, state breach-notification laws) define legal requirements, risk thresholds, and required disclosures, to include reviewing and approving final language to ensure defensibility. Advise on incident responses, breach notification, and regulatory exposures.
  • Risk Management: Identify potential legal risks and develop strategies to mitigate them. Advise on legal aspect of risk management, including insurance and liability matters.
  • Regularly attends legal seminars and keep apprised of changes in the legal landscape.


What You'll Bring:

  • Minimum of 3-5 years of experience in a corporate legal environment, with a focus on contracts and non-disclosure agreements; intellectual property, and corporate governance.

  • Excellent analytical, organizational, and problem-solving skills.
  • Strong communication and interpersonal skills, with the ability to work effectively with cross-functional teams.

A reasonable estimate of the current base pay range for this position is $200,000- $240,000. The compensation offered may vary depending on the candidate's geographic region, job-related knowledge, skills, and/or education.
