Full Job Description
Seeking a corporate associate with 1-3 years of general corporate transactional experience. Ideal candidates will have mid-level associate experience in mergers and acquisitions transactions.

We are seeking a junior Corporate Associate (1-3 years) to join our growing Corporate Practice. The ideal candidate will have experience in general corporate and M&A transactions.

Key Responsibilities
  • Represent clients in a wide range of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and strategic investments
  • Draft, review, and negotiate ancillary closing documents, including disclosure schedules, with a working knowledge of primary transaction documents, including purchase agreements, merger agreements, shareholder agreements, and operating agreements
  • Conduct and manage due diligence, including reviewing corporate records, contracts, and regulatory filings, and preparing diligence summaries
  • Assist with deal management and closing logistics
  • Advise clients on general corporate matters, including entity formation, governance, capitalization, and ongoing compliance
  • Coordinate with attorneys in other practice groups (tax, finance, employment, litigation) as needed
  • Work closely with senior associates and partners on transactions
  • Manage paralegals on transactions and provide guidance and feedback
  • Maintain direct communication with clients and contribute to building long-term client relationships

Skills & Qualifications
