Contracts Manager II - Government & Commercial Contracts at Hidden Level
Position Overview:
As Hidden Level continues to grow, we are looking for a Contracts Manager II to independently manage assigned standard-to-moderate government and commercial agreements from intake through closeout, including related SaaS/DaaS, vendor, bailment, teaming, purchase requisition, invoice, lease-support, and manufacturing-related contracting matters.
Location: This role is expected to be hybrid in Syracuse, NY or Washington, DC, with 2 days in office and 3 days remote each week. Additional in-office attendance may be needed for onboarding, training, program support, manufacturing or operations coordination, or business priorities.
Responsibilities:
- Manage assigned government contracts and subcontracts from intake or award through closeout, including modifications, options, terminations, funding actions, and change management.
- Analyze flow-down requirements and negotiateappropriate languageinto subcontracts, teaming agreements, vendor agreements, and related program documents.
- Interpret recurring FAR/DFARS clause issues independently, including data rights, cybersecurity, CUI, and flow-down requirements.
- Lead RFP reviews, map FAR/DFARS and agency supplement requirements, build compliance matrices, prepare contract volumes, and support OCI mitigation planning when assigned.
- Review and negotiate standard-to-moderate teaming agreements, subcontract documents, bailment agreements, and other contract-related legal documents within delegated authority.
- Coordinate finance/pricing, export, security, technical, legal, and executive approvals; prepare deviation memos and exception justifications as needed.
- Create, update, and coordinate purchase requisitions tied to contract actions, vendor support, subcontract packages, program requirements, or manufacturing-related support needs.
Essential Duties - Commercial Contracting
- Leadredlinereview and negotiation of customer NDAs, MSAs, SOWs, DPAs, SaaS/DaaS licensing terms, service levels, data-processing provisions, bailment agreements, and related commercial documents.
- Negotiate standard-to-moderate vendor SaaS, software, services, and operational agreements used for internal business needs.
- Structure and negotiate tailored commercial agreements while keeping privacy/security schedules aligned with company requirements and, where applicable, government program requirements.
- Coordinate with Legal and Security when customer or vendor terms involve personal data, data protection, breach notice, data retention,sub-processing, or related DPA obligations.
- Assist Accounting with invoice questions, billing backup, contract-term interpretation, and customer or vendor documentation as needed.
- Assist Service Operations with lease-related contract review coordination, including issue-spotting and escalation of legal, business, or operational concerns.
- Perform other Contracts administrative support as assigned by the Senior Contracts Manager.
Risk, Compliance & Systems
- Maintain audit-ready records, term abstracts, repositories, andDocuSignCLM/ERP data.
- Identifyand manage contract risk, apply approved fallback positions, and escalate red-flag or precedent-setting deviations.
- Track obligations, deliverables, CDRLs, changes, REAs/claims support, and closeout requirements.

Required Qualifications:
- 5-10years of experience in contracts management, procurement, legal support, supply chain, manufacturing operations support, or a related administrative role.
- Bachelor's degreerequired
- Demonstrated experience negotiating and administering FAR/DFARS-based contracts, commercial MSA/SOW/SaaS agreements, and manufacturing-related contracting or operations support.
- Working knowledge of SBIRs, DFARS data rights, CUI handling, CMMC/NIST 800-171 concepts, limitation of liability, indemnification, data protection, and SLAs.
- Strong analytical, negotiation, stakeholder-management, and written communication skills.
- Secret clearance isrequired. Candidate must either hold an active Secret clearance at hire or be able to obtain one within 6 months of hire andmaintainit as a condition of continued employment. U.S. Person statusrequiredfor ITAR-controlled work.

Salary Range: The salary range for this position is estimated at $90,000 - $118,000 annually. Please note that the salary information is a general guideline only.
