ABOUT THE JOB The Director of Compliance - Wealth Management, will be a Senior level member of Compliance Risk Management within the Second Line of Defense and will provide support to the Key wealth management team on efforts across various fiduciary and investment products, services and initiatives. As part of this responsibility, the Director of Compliance will lead a team accountable for researching, interpreting, and assisting with applying the related laws and regulations. They will provide trusted consultative advice, perform oversight activities, and assume responsibility for mitigating and discouraging actions that may expose KeyCorp and its affiliates to risk outside its desired risk appetite.
ESSENTIAL JOB FUNCTIONS- Serve as the corporate subject matter expert for all wealth management related compliance risks including risks arising from fiduciary activities
- Serve as Chief Compliance Officer of KeyBank Municipal Advisor Department, the Bank's registered Municipal Advisor (possess or ability to obtain Series 50)
- Develop strong rapport with lines of business, legal, risk and second line of defense partners
- Provide oversight and monitoring of line of business initiatives, processes, and controls
- Proactively identify process improvements or control gaps and facilitate necessary changes
- Keep abreast of new laws and regulations with awareness of emerging regulatory focus
- Assist with regulatory compliance exams and Issue remediation
- Assist with corporate policy and training development
- Educate and provide consultative advice on related regulations
- Provide independent review and effective challenge on various line of business risk-taking activities
- Assist in development and execution of risk assessments
- Report and escalate material risks to senior level audiences
- Participates in Issue Management and evolving risk governance practices
- May be responsible for usual team management and team development functions
REQUIRED QUALIFICATIONS- Bachelor's Degree or equivalent years of experience required
- A minimum of 10 years wealth management experience with 5 years minimum in a wealth management compliance-related role within the financial services industry (eg: bank examiner or other comparable legal or compliance role)
- Strong understanding of where separation between bank/non-bank entities must be maintained; Ex: licensing of bank employees with affiliated broker-dealer; interagency guidance governing sales of Non-deposit Investment Products on bank premises
- Demonstrated knowledge of investment compliance, including solid knowledge of unique assets and alternative investment products (hedge funds, private equity, etc.)
- Demonstrated knowledge of Municipal Advisor regulatory environment, and governance structure and expectations around SEC and MSRB compliance
- Acumen related to the broader wealth management business (OCC supervised bank, RIA, and brokerage)
- Strong relationship management and leadership skills
- Sound decision-making skills; able to make decisions independently and quickly
- Solid written and oral communication skills
- Sound understanding of compliance risk oversight operationalized under the three lines of defense
- Acumen for risk identification and control development
- Strong research skills coupled with strong problem solving/analytical skills
- Strong attention to detail
PREFERRED QUALIFICATIONS- Advanced degree or certifications (Juris Doctorate, CFIRS, CRCM etc)
- Expert in 12 CFR 9 and general fiduciary regulation and administration, including:
- Personal trust
- Charitable trust
- Institutional (including ERISA) trust
- Delaware trusts
- Collective Investment Funds
- Knowledge of ERISA
- Experience supporting regulatory programs or exam management within a financial institution
- Integrated broker/dealer compliance oversight experience
- Knowledge of trust tax requirements and regulations
- Experience leading concurrent major projects or managing teams
- Experience presenting complex issues to executives
COMPENSATION AND BENEFITS
This position is eligible to earn a base salary in the range of $128,000.00 - $268,000.00 annually. Placement within the pay range may differ based upon various factors, including but not limited to skills, experience and geographic location. Compensation for this role also includes eligibility for incentive compensation which may include production, commission, and/or discretionary incentives.
This position is eligible to earn a base salary in the range of $160,000 to $210,000 annually depending on location and job-related factors such as level of experience. Compensation for this role also includes eligibility for short-term incentive compensation and deferred incentive compensation subject to individual and company performance.
