UCT is seeking an experienced and business-oriented
Commercial Counsel to join our growing Legal team. This
remoterole will serve as a strategic partner to internal stakeholders across the organization, providing practical legal guidance that enables business growth while effectively managing risk in a fast-paced global environment.
The ideal candidate brings strong experience in commercial transactions, contract negotiation, and cross-functional partnership, with the ability to balance legal considerations against operational and commercial objectives.
Essential Duties and Responsibilities:- Draft, review, negotiate, and advise on a broad range of commercial agreements, including:
- Supply and manufacturing agreements
- Customer and vendor contracts
- NDAs and confidentiality agreements
- Technology, software, and IP-related agreements
- Strategic partnership and services agreements
- Provide proactive legal counsel to business leaders on commercial transactions, risk mitigation, and regulatory considerations.
- Partner closely with Sales, Procurement, Operations, Finance, HR, and Product teams to support strategic business initiatives.
- Support global business operations and international commercial transactions.
- Develop scalable legal processes, standard templates, contract playbooks, and best practices to improve efficiency and consistency.
- Assist with legal review of operational, compliance, and business initiatives across multiple regions.
- Manage and coordinate outside counsel where specialized legal expertise is needed.
- Monitor changes in laws, regulations, and industry developments that may impact the business.
Required Qualifications:- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing.
- 6+ years of legal experience, preferably combining law firm and in-house counsel experience.
- Strong experience drafting and negotiating complex commercial agreements.
- Demonstrated ability to provide practical, solutions-oriented legal advice in a dynamic business environment.
- Experience supporting technology, manufacturing, semiconductor, or industrial organizations preferred.
- Familiarity with intellectual property, software licensing, privacy, and data protection matters is highly desirable.
- Excellent analytical, negotiation, communication, and stakeholder management skills.
- Ability to independently manage multiple priorities and work effectively in a fast-paced environment.
