Commercial Counsel (US and Canada)Position Summary:The Commercial Counsel is a key member of the CAM Legal Department responsible for the review, negotiation, and lifecycle management of commercial, customer, and vendor agreements while also contributing to broader legal department initiatives, governance, and corporate compliance. This role combines hands-on contract negotiation with strategic legal support to the General Counsel and business leadership.
Key Responsibilities:Contract Review, Negotiation, & Management- Lead review, revision, and negotiation of customer and commercial agreements
- Evaluate and advise on risk allocation, including indemnities, limits on liability, insurance structures, and damages
- Draft and review lease agreements, teaming agreements, memoranda of understanding, joint venture agreements, contract amendments, and other commercial documentation
Commercial & Strategic Support- Provide legal support and review on bids, RFQs/RFPs, and project pursuits
- Advise business teams on contract strategy, risk mitigation, and negotiation positioning
- Participate directly in negotiations with customer procurement and legal departments
Legal Department Support & Governance- Support the General Counsel on legal initiatives and department priorities
- Maintain and improve contract templates, standards, and legal processes
- Assist with corporate governance matters, including subsidiary maintenance and compliance documentation
- Contribute to internal legal training and policy development
- Support cross-functional legal matters involving operations, HR, and finance
Contract Lifecycle & Oversight- Assist in the efficient execution and administration of agreements
- Maintain contract logs and provide regular status updates to Legal Department leadership
- Partner with Contracts team members to ensure consistency and quality
Qualifications:Education, Skills, and Experience- Juris Doctor (JD) required; licensed or eligible to practice law
- 2-5 years experience
- Meaningful experience in commercial contracts and legal practice, preferably in industrial or construction environments

Physical RequirementsThis role requires the ability to perform work in a standard office environment, including sitting for extended periods and using a computer, keyboard, and mouse on a consistent basis. The position involves frequent viewing of digital screens, clear communication via phone and in meetings. Candidates may also need to be able to perform light physical tasks, such as lifting or moving items up to 10-25 pounds and accessing office equipment or files as needed.
