Purpose:Athene is seeking a highly motivated and transactional attorney to join its Legal - Corporate Development & Reinsurance team. This role will serve as a key legal partner in supporting the acquisition of third-party liabilities across Athene's global platform, including insurance M&A, block and flow reinsurance transactions, joint ventures, minority equity investments, and other strategic initiatives within the life and annuity sector.
Reporting to the Vice President, Legal - Corporate Development & Reinsurance, this individual will play a significant role in structuring, negotiating, and executing complex domestic and cross-border transactions. The ideal candidate will bring strong transactional experience in insurance M&A and/or reinsurance, sound legal judgment, and the ability to manage workstreams independently in a fast-paced, highly collaborative environment supporting Athene's continued international growth.
Accountabilities:- Lead the drafting, review, and negotiation of term sheets, purchase agreements, reinsurance treaties, collateral agreements, and related transaction documentation supporting Athene's expanding domestic and international life and annuity platform.
- Provide timely and practical legal and regulatory advice to business stakeholders regarding U.S. and international M&A, reinsurance, and strategic investment transactions.
- Take ownership of discrete transaction workstreams and manage deal execution in coordination with internal partners, including corporate development, actuarial, finance, and risk teams.
- Support transaction structuring, due diligence, regulatory analysis, and closing processes across multiple jurisdictions.
- Coordinate effectively with internal cross-functional teams, outside counsel, and other external advisors to drive transactions forward and ensure alignment with business objectives.
- Monitor relevant legal, regulatory, and industry developments impacting life and annuity (re)insurance and advise internal stakeholders accordingly.
- Assist in maintaining and enhancing legal and operational procedures related to onboarding and administering third-party acquisitions and reinsurance arrangements.
- Uphold high standards of documentation management and support ongoing contractual compliance.
Qualifications and Experience:- Education & Licensing: J.D. from an accredited U.S. law school and an active U.S. law license required.
- Experience: 8+ years of relevant experience at a leading law firm and/or within the legal department of a major (re)insurer, including meaningful exposure to insurance M&A and/or reinsurance transactions, and 5+ years of direct or indirect leadership experience.
- Transactional Expertise: Demonstrated experience drafting and negotiating transaction documents in the life and annuity sector or broader financial services industry, including purchase agreements, reinsurance treaties, and related commercial agreements.
- Regulatory & Industry Knowledge: Strong understanding of U.S. insurance regulatory frameworks, with familiarity in cross-border regulatory considerations impacting life and annuity transactions.
- Execution & Leadership Skills: Ability to independently manage significant components of complex transactions, balance multiple priorities, and exercise sound legal and commercial judgment. Experience coordinating internal stakeholders and external counsel in a deal environment.
- Professional Attributes: Strong analytical, communication, and relationship-building skills, with the ability to operate effectively in a high-performance, transaction-driven environment. Ability to distill complex issues into clear, practical advice and draft straightforward, plain-English presentations and memoranda.
This role is transaction-focused and may require extended hours, including evenings and weekends, in connection with active deal execution. Actual salary for all roles will be based upon geographic location, work experience, education, licensure requirements and/or skill level and will be finalized at the time of offer. Depending on the role, a discretionary bonus plan or variable sales incentive may be included.
