SUMMARY

The Associate General Counsel is a senior member of the Legal team and a trusted strategic advisor to leaders across the organization. Reporting to the Chief Legal Officer & General Counsel, this role provides practical, business-oriented legal counsel across a broad range of matters, with particular focus on commercial transactions, SaaS and technology agreements, data privacy, regulatory compliance, corporate transactions, and risk management.

The Associate General Counsel will partner closely with senior leaders and cross-functional teams to identify and mitigate legal and business risk while enabling the company to execute against its strategic objectives. The ideal candidate combines strong legal judgment and technical expertise with a pragmatic, solutions-oriented approach and the ability to operate effectively in a fast-paced, growth-oriented technology environment.

RESPONSIBILITIES
• Serve as a trusted legal advisor on commercial transactions to senior leadership and cross-functional business partners, providing strategic, practical, and commercially focused counsel.
• Draft, review, negotiate, and advise on a broad range of commercial and technology agreements, including SaaS agreements, customer and vendor contracts, software and technology licensing agreements, payment processing agreements, data-related agreements, confidentiality agreements, strategic partnerships, and other complex transactions.
• Assist Lead legal support for complex commercial negotiations, balancing legal and regulatory requirements with business objectives and customer needs.
• Provide legal guidance on data privacy and security matters and support the continued development, implementation, and management of the company's global privacy program.
• Monitor evolving privacy, technology, and regulatory requirements and translate legal developments into actionable guidance for business leaders.
• Partner with Sales, Finance, Technology, Product, HR, Operations, and other functions to proactively identify legal risks and develop practical solutions.
• Advise business teams on contractual obligations, interpretation, compliance, and risk.
• Support mergers and acquisitions, including due diligence, transaction execution, integration, and other corporate matters as needed.
• Provide counsel on customer disputes and collection matters, including management of outside counsel when appropriate.
• Develop and improve templates, playbooks, and contracting practices to increase efficiency, consistency, and scalability.
• Support the effective use and administration of contract lifecycle management and other Legal department technology.
• Handle sensitive and confidential matters with sound judgment and discretion.
• Manage multiple complex matters simultaneously with a high degree of independence, accountability, and urgency.
• Support the Chief Legal Officer & General Counsel on strategic initiatives, special projects, and other legal matters as needed.
QUALIFICATIONS
• Juris Doctor (JD) from an accredited law school.
• Active membership in good standing with the bar of at least one U.S. jurisdiction.
• 8-10+ years of progressively responsible legal experience, with significant in-house experience strongly preferred.
• Experience supporting a SaaS, software, technology, or similarly complex business environment.
• Significant experience drafting and negotiating sophisticated commercial and technology transactions.
• Strong knowledge of SaaS agreements, software licensing, data privacy, data security, and technology-related legal issues.
• Experience advising senior executives and business leaders on complex legal, commercial, and risk matters.
• Experience supporting M&A transactions, corporate matters, litigation, or regulatory compliance is strongly preferred.
• Combination of top-tier law firm and in-house technology/SaaS experience is preferred.
