Specific Job Summary

Reporting to the Chief Financial Officer, the Vice President, Investor Relations is responsible for developing and executing the global investor relations strategy, operating plans, and budget of the global Investor Relations program. The primary operating objective of the Investor Relations (IR) program is to educate and updateinvestors and security analysts about Marriott Vacation's Worldwide (MVW) to achieve a fair, relative stock price. The program must accurately represent and reflect MVW. In support of achieving the goals of the IR program, the Vice President attracts and retains institutional shareholders and handles security analyst and investor (institutional and retail) inquiries about MVW's business, performance and financial outlook.

Primary Internal and External Relationships

Internal Relationships: CEO, Business Line COOs, Chief Financial Officer, Controller, General Counsel, Securities Lawyer, Chief Information Resources Officer, Communications Officer, Chief Human Resources Officer, leaders in operating business lines and their staff members.

External Relationships: Institutional investors, (including security analysts, portfolio managers, directors of research, investment department heads, and strategists), individual investors, stock brokerage security analysts and their directors of research, credit analysts, and business and financial media.

Specific Expected Contributions

Strategic Leadership

  • Provides counsel and advice to other senior leaders.
  • Directs and executes the collection, analysis, modeling, and presentation of feedback to the company of investors' perceptions and opinions, brokerage security analysts' positions and summaries, relative stock price movements, and periodic ownership analysis. The analysis is provided and presented to the senior leaders and the Board of Directors in written and oral form. Responds to related questions from the senior leaders and Board of Directors.
  • Collaborates in executing the global investor relations program, including strategy (linked to the company's strategy), operating plan, budget, and the detailed execution of the IR operating plan.
  • Member of the Disclosure Committee, which consists of the, CFO, General Counsel, Corporate Controller, SEC counsel, Chief Audit Executive, and selected staff members. Supervises and performs related analysis and creation of recommendations.
  • Directs strategic and integrated communications to include strategy and assuring consistency of messages among all communicators including public relations, marketing, legal, accounting, operations, employee relations, and others.
  • Member of the Crisis Communications Team; work includes analysis, drafting, editing, and support.
  • Speaks on behalf of the company at investment presentations, institutions, individual meetings and discussions, and with the media.
  • Maintains relationships with the financial media and directs strategy with regards to managements participation in financially related public/media events.

Investor Relations Strategy, Plan, and Execution

  • Collaborates with the CFO on the development of the IR strategy, operating plan, and budget.
  • Supports theCFOin the execution of the IR program, which is shown below in more detail:
    • Educates and updates investors and analysts.
    • Executes the creation of publications and electronic media used in the IR program. Supervises the data collection, analysis, writing and editing, and production of those materials.
    • Leads presentations and discussions on the IR program.
  • Educates and updatesinvestors and analysts:
    • Creates value-driver-based investment messages, e.g. press releases, road show presentations
    • Serves as the primary financial media contact and keeps shareholders knowledgeable about the company.
    • Finds, supports, and encourages prospective investors by broadening awareness and interest through conferences, presentations, meetings, media, and mailings.
    • Responds to investor targets-of-opportunity created by presentations, meetings, and media.
    • Hosts conference calls, prepares conference call scripts and practice questions (with answers when needed), and leads practice sessions. Contracts for conference call services.
    • Uses statistical targeting to identify good-fit institutional investors; contacts the analysts at those institutions to verify possible interest and to encourage interest and investment.
    • Represents MVW in independent meetings with sell-side and buy-side analysts, including trips to conferences and road shows.
    • Supports the investors' decision-making processes through visits to institutions, individual meetings, visits by analysts and investors to company sites, and visits with appropriate other senior leaders.
    • Collaborates with the Law Dept. to establish and maintain MVW's disclosure policy.
    • Is the office of record for public disclosure to investors.
    • Contracts for and directs the capital markets database and intelligence system that supports the investor relations program.
  • Creates or assists in creating the publications and electronic media used in the IR program:
    • Annual report: executes theme, content, design, production, and delivery.
    • Quarterly results and other news releases: collaborates in creating.
    • Periodic update of the outlook for the quarter and or year results.
    • Data book or fact book: executes design, content, production, and delivery.
    • S.E.C. filings: collaborates with the CFO, General Counsel, and legal staff.
    • Support the Law Dept. regarding the proxy solicitation.
    • Edit 10-K, proxies.
    • Leads arrangement of conference calls, both for quarterly results and special events.
    • Executes webcasts, usually in conjunction withconference calls and investment conference presentations. Contracts for webcasts.
    • Design IR website section and create and update content as needed.
    • Directs the IR website archive of historical information for investors.
    • Assists with media news stories.
    • Provides direction and assistance to Public Relations staff and other departments as needed.
  • Researches, prepares, drafts, delivers andsupportspresentations and discussions on the IR program:
    • At Annual Meeting of Analysts & Investors.
    • At Broker-sponsored conferences and meetings.
    • At Company-hosted conferences and meetings.
    • In discussions with analysts and review of draft reports for accuracy of publicly disclosed information.
    • In analysts' discussions with CEO to verify understanding of strategy and direction.
    • By visiting and supporting visits of other senior leaders to institutional investors.
    • By supporting visits by investors to MVW headquarters.
    • By supporting visits by investors to MVW resorts.
    • At internal company meetings.
    • Regularly communicates with shareholders on investor inquiries; able to communicate MVW's broad business strategy and can communicate effectively on matters concerning security regulation.

Candidate Profile

Successful candidates should possess knowledge and experience and demonstrate strong leadership and relationship skills as follows:

Typically a senior position requiring significant knowledge and experience in one or more disciplines and/or business operations as well as associate and organizational management experience. College degreerequired. Advance degree or professional certification may also be required.

  • Bachelor's degree in Finance or related discipline required
  • MBA or Master of Science/Graduate Degree in Finance or Business Strategy strongly preferred.


  • Ten plus years of financial and accounting management experience in a global organization with increasing management responsibility.
  • 2 years' experience in investor relations or related financialexperience.
  • History of consistently delivering business results.
  • Timeshare, lodging or hospitality industry experience strongly preferred.
  • Experience in a finance role supporting timeshare operations is strongly preferred.
  • Experience leading and managing large scale initiatives and managing associated change.


  • Able to translate business needs into operational financial management priorities.
  • Able to evaluate business trends and modify strategies and approaches as necessary.
  • Exhibits strong functional leadership and knowledge to leverage this strength to influence executive/business team strategies and decisions. Must be able to provide honest feedback and advice to management on matters pertaining to Wall Street.
  • Knowledgeable in generally accepted finance and accounting policies, principles and controls, as well as Marriott Vacation's Worldwide specific accounting and financeprocesses and systems.
