Position Summary

The Vice President and Counsel – Investment Management will support the Company’s activities to identify and enter into relationships with investment managers and assist with investments made by the Company’s separate accounts.  The position will also assist with Legal Group initiatives as assigned from time to time. The Vice President and Counsel – Investment Management will interact most frequently with members of the Investment Platform, Sales and Marketing, and Operations Groups.  The position will report to the Company’s Senior Vice President and Deputy General Counsel. 


  • Review offering materials prepared by sponsors of privately-issued investment funds proposed for inclusion as investment options in the Company’s variable products, both for compliance with applicable securities laws and regulations as well as compliance with insurance law restrictions
  • Participate in the preparation and negotiation of investment documentation with asset management organizations covering private investment funds and separately-managed accounts
  • Participate in the preparation and negotiation of participation agreements with sponsors of publicly-registered variable insurance trusts
  • Support the Company’s internal due diligence process for new investment funds and asset management organizations
  • Provide assistance with drafting commercial contracts supporting the Company’s day-to-day operations
  • Assist in cross-departmental projects involving new product research and development and product marketing initiatives
  • Maintain attentitiveness to legislative and securities regulatory developments impacting Company products
  • Perform research and analysis and provide advice on a wide array of legal matters that may arise
  • Support the Compliance Group on matters involving the offer and sale of the company’s products
  • Complete special projects as needed for the Legal Group

Your profile:

Desired Skills and Experience

  • Knowledge of variable insurance products and/or private investment securities industry, as well as insurance industry compliance issues is a strong plus

  • Creative problem-solving ability and the ability to balance business and legal needs

  • Mental agility and adaptability

  • Corporate M&A exposure is a plus, but not required

  • Excellent communication skills (oral, written and presentation)

  • Strong interpersonal and collaboration skills

  • Ability to set priorities and meet multiple simultaneous deadlines


  • Juris Doctor degree, top third of class

  • 5 to 10 years of relevant experience in investment management, securities, and commercial law matters

  • Insurance industry experience a plus

  • Must have the ability to competently manage multiple projects and transactions; project management skills, strong personal accountability, follow-up and and intitiative
