What you will do as the Transaction Tax Manager:

As the Transaction Tax Manager, you will work closely with our clients and team members in providing tax due diligence, structuring, modeling and other tax advisory services in connection with mergers, acquisitions and reorganization transactions. Through analysis of financial and tax data, you will provide insights to key decision-makers that help them increase value and reduce taxrisks and uncertainty inherent in transactions.

You will also work with the CLA service teams to deliver an integrated approach to clients before, during and after the transaction. This includes working directly with experienced Principals who teach, train, and promote a great working environment.

Your responsibilities include:

  • Manage tax due diligence, structuring, modeling and other special project engagements related to acquisitions and dispositions by private equityinvestor groups, family offices and strategic buyers.
  • Liaise with investment bankers, attorneys, valuation professionals, and other deal professionals.
  • Perform tax research of transaction-related federal, state/local and international tax matters.
  • Work with CLA specialty tax groups as needed (SALT, Global Tax and Federal Tax Solutions).
  • Write and review reports and orally present findings to client.
  • Lead, train and provide meaningful real-time feedback of tax staff.
  • Keep leadership informed of engagement progress and issues encountered.
  • Keep up to date with new federal, state and international tax developments.
  • Participate in internal and external business development activities to develop relationships and the CLA brand.

Your experience likely includes:

  • 5+ years’ of experience performing federal, state and/or international tax compliance, planning and consulting services in a public accounting firm, a corporate tax department, or a law firm.
  • Bachelor's degree in accounting and/or business from an accredited college/university.
  • CPA certification.
  • Advanced degreepreferred – J.D., LL.M. in Taxation and/or Master’s in Taxation (MST).
  • Knowledge of a broad range of business tax matters in various industries.
  • Ability to handle multiple engagements and client service teams and perform in a fast-paced, high-energy team environment.
  • A strong work initiative and the ability to adapt to new challenges and ideas.
  • Strong analytical and interpersonal skills.
  • Excellent written, verbal communication, and tax research skills.
  • Proficient with Microsoft Excel, Word and PowerPoint.
