The E-Discovery Services & Strategy (ESS) Transaction Attorney performs legal work supporting corporate and transactional projects, including due diligence, entity formation, contract review, drafting, compliance, abstracting, and other responsibilities as may be assigned. Candidates must possess at least 2 years of substantive experience in either a law firm or in-house corporate legal department and be experienced with corporate and/or m&a, private equity, venture capital, commercial lending, or real estate transactions. Experience with contract review, machine learning, or artificial intelligence platforms is a plus. The Transaction Attorney II reports to the ESS Counsel. Project specific direction will come from the ESS Senior Transaction Attorney and the legal team contact.

Primary Job Responsibilities:

  • Possess a working knowledge and understanding of corporate transactional work in M&A, private equity, venture capital, commercial real estate, or commercial loan transactions.
  • Conduct due diligence, compliance, and contract reviews.
  • Draft corporate formation documents and other supporting documentation for transactions including disclosure schedules, corporate board resolutions, and diligence matrices.
  • Review, draft, and negotiate commercial contracts, memoranda, and other documentation.
  • Monitor, research, and remain apprised of case law, and statutory developments related to corporate, m&a, private equity, venture capital, commercial real estate, and/or real estate.
  • Experience with contract management software and virtual data rooms.

Specific Skill Required:

Demonstrated ability to take initiative, exercise professional discretion, and independent judgment. Possess strong written and verbal communication skills including the ability to present legal issues in a clear and concise manner to internal attorney teams and clients. Requires superb attention to detail and the ability to meet tight deadlines. Strong customer service skills are a must. Requires fluency in standard MS Office applications and the ability to quickly master new software. Must have the ability to follow directions. Demonstrated ability to pay attention to detail, exercise discretion and maintain extreme focus is preferred. Experience with contract review, machine learning, and artificial intelligence software preferred. Foreign language skills and advanced technical skills are a plus.

Education & Experience:

Must have a Juris Doctor degree and at least 2 years of related work experience. A Transaction Attorney II must be licensed to practice law and be in good standing with the state bar where the Perkins Coie office is located.
